<br /> MUNICIPALITY SERVICE AGREEMENT
<br /> This Municipality Servroe Agre$ment, including ali Exhibits attached hereto {ttie "AqreemenY') is entered into by
<br /> and between Buildir�eye, lnc., a Detaware oorporation with o�ces at 1355 Market SUeet, 4�' Floor Suite 488, San
<br /> Francisco, CA 94103 ("Buitdinqeye") and [City of Redwood C+ty {"Mun�ci ai' ), a muniapal�y located aUin 1017
<br /> Middiefield Road Redwood City,CA 94063, and is effective as of(�i�iSJ(the"Etfective Date").
<br /> WHEREAS,6uiidingeye operates an oniine service through which end users can, among other things, be notiffed
<br /> of and track Ixa1 public notices,peRnits,constsuc:tion sites and closuces;
<br /> WHEREAS,Municipality operates a website to provide local citizens with infom►atu�n regarding Municipality;
<br /> WHEREAS, Municipa�ty desires to disptay certain information from Builda�geye's online service{s)on its website;
<br /> and
<br /> WHEREAS, Buildingeye desires to provide such service to Municipality.
<br /> For�e payments and otttier promises detailed below,the parties agree:
<br /> 1. DEFINITIONS.
<br /> 1.1 "Data" means all data and information rega�ding building permits, construction sites and road dosu�es
<br /> and all other data and information that is listed in Exhibit A that is owned or controlled by Municipality. "Data" does not
<br /> include Customer Information defined in Section 2.5.
<br /> 1.2 "Customers'means aH end users of the website where the Muniqpaiity's Custom Platform is embedded.
<br /> 1.3 "Custom Platform" means a version of the Platform that makes availabie anly the Data and not data and
<br /> information relating to cities,cou�#ies or entities other than Municipality.
<br /> 1.4 `Data Normalization" means the processing of Data by Buildingeye such that the Data can be used in
<br /> connection with the PlatfoRn.
<br /> t.5 "Inte ra "means[�d[fying the S[t,e such that the CusGom Platfo[m appears within ihe S[te.
<br /> 1.6 "Integration Ctxis"means any software code which may be provided by Buildingeye to Municipality for the
<br /> purposes of enabling the Integration, including bug fixes, error corrections, updates and r�w v�rsions. Irrtegratian Code
<br /> shall be provided only if specfied�Exhibit B.
<br /> 1.T "Intellectual Pro�ertv Riahts"means all forms of proprietary rights,titles, interests, and ownership relating
<br /> to patents,copyrights,trademarks,trade dresses, trade secrets, know-how, mask works, dmlt moral(mofal rights),and all
<br /> similar rights af every type that may exist now or in the future in any jurisdiction, including without limitatian ait applications
<br /> and registrat�ns therefore and rights to apply for any of the foregoing.
<br /> 1 8 " 1 rm" means Bui�dingeye's proprietary, hosted, map-based city informatfon viewing platforrn, as
<br /> currently made available through a website ai http://www.Buildingeys.com, as may bs modified by Buildingeye ftom time
<br /> to time. For the avoidance of doubt,refe�ences to the"Platform°herein include the Custom Platform.
<br /> 1.9 "Services"means, individually and collectively, Data Normalization, operation of the Custom Platform and
<br /> any other services provided by Buildingeye to Muniapality hereunder.
<br /> 1.10 "Site"means the website owned and operated by Municipality located at[httpJ/www.redwoodcity.org/j.
<br /> 2. DATA.
<br /> 2.1 Data Transfer. Promptly following the Effective Date, Municipality shall make an initial t�ansfer of all Data
<br /> to Buildingeye � described in Exhibit A hereto. The parties shall cooperate to ensure the ongoing transfer of Data to
<br /> Buildingeye such that the Data available on the Platfonn is reasonably current at all times, including through any
<br /> automated methodology descrihed in Enhibit A o� otherwise agreed upoa by the parties in writiag, Municipatity wiU use
<br /> reasonablre efforts to ensure that the ongoing transfer of Data occurs on a daily basis, provided that Municipality agrees
<br /> tt�at the ongoing transfer will occur on a# least a weekly basis. Municipality will provide Data tfiat is accurate, complete
<br /> and curreM to the best of�s knawledge based an its normal business practices, but shall not be responsibls for eROrs or
