Municc�pality represents and warrants that: (ij it has all rights,title, interest, licenses and consents, and has made any and all notices and disclosures, necessary for the collection and provision to Buildingeye of all Data and for Buildingeye's use thereof without violation of any law,rule or regulation (including any privacy laws); and(ii)the Data dces not include any social security numbers,or financial account numbers. 2.3 Grant of Licer►se. Municipatity hereby grants to Buildingeye a perpetual, non-exclusive, worldwide, roya#ty-free,irrevvcabie lic:ense to use, reprodtrce,modify,create derivative wrorics,display, pertorm arut transmit the Data; (i)for,p�rpases of oFerating and making available the Platfarn arui as is reasonably ne�assary in rslation to the Services; and {ii}for Buiid'mgeye's business use, inctuding for purpases of developing, improving, testing and providing its products and services. Buildingeye may exercise the foregang license through use of third party service providers and suboontractors. 2.4 Rernovai of Data. Buildingeye shal! remove from the Platform any Data, the publication and distribution of whfch would violate the law � is violating the law, upan written request of Muniapality. Buildingeye wilt not unreasonably refuse any request by Municipality to remove any Data that Municipality asserts is materially incor�ect. Municipality acknowledges that it may be obligated to pay Buildingeye at its then-current professional services rates to the extent Bui�ingeye spends more than an incidental amouM of time removing Data hereunder. 2.5 Customer E-mail. The Platform may provide functionatity tt�ugh which Customers may provide personal in#ormation sucfi as name and personai smail address("Customer I�ormation")to request alerts and/or notices relating to c�tain Data be sent to tt►ei� personai e-mail account. Buildingeye shall be respons�le for sending the Customer the requested alert and/or natic�e_ Buiidingeye shall have ihe sole right to determine the layaut and formatting of Customer- requested alerts and/or notice without Municipalitys prior approval. 2.6 P�vacv of Customer Infamation. Buildingeye shall at all times make a privacy policy available on the Custom Platform and ensu�e that its privacy palicy. the current version of vuhich can be tacated at (Prlvacy URL to be inserted] complies wiih all applicabie laws. Buildingeye shall use Customer Information ooHected by Buildingeys via the Custom P�atform for purposss of sending alerts and/or notices as authorized I�its privacy policy available ot�the Platform or as otherwise atbw�i under applicable law. Municipa�ty shall ensure that the Site includes a privacy policy that complies with all applicable laws, and shall use any Customer Infonnation that may be provided to Municipality by Buildingeye only as described in such privacy policy and as allowed under applicable law. 3. SERVICES. 3.1 Data N+armalization. Buitdingeye shall use oommercialiy reasonable efforts to perForm the Data Narmalization for all Data and make n available on the Platform. Munkipality acknowlsdges that Data presented through the Platform may not be accurate for reasons beyond the reasonable control of Build'mgeye, including witl�out lirnitation because locatiorr in�mat�on wtithirr the Data carmat be matched wrth a geetocat+err, arrd egrees that 8u+ldirtgeye sha!! have no liability for any such inaccuracies. Buildingeye will correct any inaccuracies which it is notified of by Municipality within a reasonable time period. 3.2 Custom P4atEam. Withiti►a reasostiable pesiod of tiri►e fa4bv+nng the pertom�a�ce af Data Normal+zatian on the initial Oata provided by Municipality and the establishment of a process for the ongara� Data transfers as described ur�der Sectio� 2.1, Buildingeye shall make available t#� Custom Platform as set forth in Exhib+t B. Promptly following availability oi the Custom P�atfortn, Municipality shall perfomi the 1Megraiion as described in Exhibit B. To the extent express(y provided for in Exhibit B, Buldingeye shaR provide the (ntegration Code to Municipa(ity for purposes of Integration. Municipality shall make available the Custom PlatfoRn on the Site without madification and wittiout obscuring any aspect of the Custom Platfortn, including any copyright, trademark. patent or other notices or legends that appear within the Custom Platform. Munippalfty may only Integrate the Custom Platform in the form made availabls to Municipality by Buitdingeye. Municipality may not(a)copy, distribute, reni, lease, lend, sublicense or transfer the Custom Platform; or{bj make the Custom Platform available through any site,application, service or property other than the Site. 3.3 Munici�alitv Obiiaations. Munic+pality acicnowtedges that Buildingeye's ability to perform Data Normalization and make available the Custom PlatForm is contingent upon Municipality performing all of its obiigations set forth herein (including in Exhibit A and Exhibit B and for providing all other reasonably necessary cooperation, information, materials,assistance and access to personnel requested by Buildingeye.
