City requines the professional services of a high-quality Shakespeare <br /> perfarmance company. <br /> B. Consultant has the necessary experience in prov'rding prafessional <br /> services and advice. <br /> C, Seiection of Consultant is expected to achieve the desired results in an <br /> expedi#ed fashion. <br /> D. Consultant has submitted a proposal to Gity and has affirmed its <br /> wiliin�ness and ability#o perform such work. <br /> NOUV, THEREFtJRE, in consideratian o#these recitals and #he mutuai covenan#s <br /> contained herein, #he Parties agree as fallows: <br /> 1. Scope of Work, City retains Gonsuitant #o perfonn, and Consultant agrees to <br /> render, those services (the"Services")that are defined in attached Exhibit "A,° which is <br /> incorporated herein by referenc�. In the event of a cor�lict between the provisions of <br /> E�ibit "A" and the terms af this Agreemen#, the terms of this Agreement shaii prevaif, <br /> City shall have the right to mod'rfy the scope of work to delete tasks in whole or in part. <br /> 2. S#andard of PerFarmance. Whi1e performing the Serv�ic;es� Consultant wiil <br /> exerase the reasonabte professionat care and skill customarily exercised by reputable <br /> members of Consultant's professian prac#cing in #he urban Northem Califami� Area, <br /> and will use reasonable diligence and best judgment while exercising its professional <br /> skiN and expertise. <br /> 3. Terrn. Unless eariier terminated, the term of this Agreement wili commence upon <br /> the date first above written and shali expire upon completion of performance of Services <br /> hereunder by Consui�ant. <br /> 4.
