City understands that <br /> Consuitant's performance must be govemed by sound practices. <br /> 5. Time is of the Essence. Time is of the essence for each and every pravision of <br /> this Agreement. <br /> 6. Comnsnsation. City shail pay ta Consultant an amount not to exceed Tweniy <br /> Thousand Dollars ($20,0�) for the completion of ali the work and services described <br /> herein, which sum shall include all costs or expenses incurred by Consuitant. <br /> 6.1 An application for payment form must be submitted to City which shalt <br /> indude the following: a clear, detailed invoice reflecting work being billed for, a <br /> summary sheet showing houriy rates, hours worked, percentage of work completed to <br /> date, amounUpercent billed to date and eurren# status of all tasks within a project; <br /> anylall backup documentation supporting the above items. Work schedule updates must <br /> aiso be included with the payment requests. <br /> 6.2 Consuitant shali maintain adequate records and shall permit inspection <br /> and audit by City of Consu[tant's charges under this Contract. Consul#ant shall make <br /> such records available to City during normal business hours upon reas�nabie notice. <br /> Nothing herein shali convert such records into pubiic records, and they wiii be arrailabie <br /> only to City and any specified pubiic agencies. Such records shall be maintained by <br /> Consuitant for ons (1) year following completion of the woric under this Contract unless <br /> a lor�r period of time is required by state or federal law, in which event Consultant <br /> shall retain i#s records for the time required by such laws. <br /> 6.3. The payment made to Consultant pursuant to the Agreement wiil be the <br /> fult and complete compensation #o which Gonsul#ant is en#itled. City witl not make any <br /> federat ar state tauc withhoidings on behalf of Cansul#ant or its agents, empioyees or <br /> subcontractors. City wil( �ot be required to pay any workers`compensation insurance or <br /> unemployment contributions on behalf of Consultant or its employees or subcontractors. <br /> Constat#ant agrees to reimburse City within thirty (30} days fior any tax, r�etirement <br /> contribution, social security, overtime payment, unemployment payment or workers' <br /> campensat�on payment which City makes on behatf of Cansultant or any agent, <br /> employee, or subcontractor of Consultant far work done under this Agreement. At the <br /> City's eiection, City may deduct the reimbursable amount from any balance owing ta <br /> Consultant. <br /> 7. Status af Cansultant. Consultant will perform the Services as an independent <br /> contractor and not as an empfayee of City.
