Consultant wiii defend, indemnify and hotd harmless City and its <br /> officers, agents, employees and volunteers from and against ail ciaims, damages, <br /> losses and expenses including attomey fees arising out of the per€ormance of the <br /> Services, caused in whol� or in part hy the willfui misconduct ar any negligent act ar <br /> ornission of the Consulfian#, any subcontractor, anyane directiy or indirec�y emplo}red by <br /> any af them or anyone for whose acts any of them may be liable, except where caused <br /> by the sole negligence or willful misconduct of City. <br /> The Parties e�aressly agree that any reasanable payment, attomey's fee, cost or <br /> expense City incurs or makes #o or on behaff of an injured emptoyee under the C�ty's <br /> self-administered workers' compensation is included as a {ossfi e�ense or cast for the <br /> purposes of this sectian. <br /> The parties expressiy agree that ffiis sec#ion shall survive fhe expiration or early <br /> termination of the Agreement. <br /> 11. insurance. Consuitan# shail obtain and main#ain for the duratian of the <br /> Rgreement and any and all amendrnents, insurance against daims for injuries to <br /> persans Qr damage to property which may arise out af or in connectron with <br /> �rfarmance af the S�rvices by Consuftant or Consuitant's ager�is, repr�sentatives, <br /> employees or subc�ntractors. The insurance carrier is required to mairitain an A.M. <br /> Best rating of not less than°A-:VIIA. <br /> 11.1 CQverages and Limits. Consultant, at its sole expense, shalt maintain the <br /> types of coverages and minimum limits indicated below, unless otherwise <br /> approved by Gity in writing. These minimum amounts of coverage will not <br /> canstitute any limitations or cap on Consultant's indemn'rf'ica#ion abligatians under <br /> this Agreement. <br /> 11.1.1 �ommercial Genera! Liabili#y_Insurance.
