TM-1426 Commercial Electronic Office (“CEO®”) Service Description Page 1 of 3 <br />Revised 04-30-2014 <br /> <br />COMMERCIAL ELECTRONIC OFFICE® (“CEO”®) <br />SERVICE DESCRIPTION <br /> <br />1. Introduction. The Service Documentation contains the terms governing the Wells Fargo Bank, <br />N.A. (“Bank”) Commercial Electronic Office® service (“Service”) and includes: <br /> <br />(a) this Service Description; <br /> <br />(b) the Acceptance of Services or Treasury Management Product Enrollment form; <br /> <br />(c) the Master Agreement for Treasury Management Services ("Master Agreement"); <br /> <br />(d) the account agreement governing the account(s) Company uses in connection with the <br />Service; and <br /> <br />(e) User Guides which include Terms of Use, software, software licenses, price schedules, <br />specifications, instructions, and notices; <br /> <br />This Service Description and the Master Agreement are posted at Bank’s Commercial <br />Electronic Office® (CEO®) portal. If there is a conflict among the documents comprising the <br />Service Documentation, they will govern in the order listed above. Company’s use of the <br />Service confirms Company’s receipt of and agreement to be bound by the applicable Service <br />Documentation. If an enhancement to the Service or other change requires a change to this <br />Service Description, Bank will post an updated Service Description on the CEO® portal. When <br />required by applicable law, Bank will notify Company of the update. If Company continues to <br />use the Service after the update takes effect, Company will be deemed to have agreed to the <br />update. <br /> <br />2. Description of Service. The CEO® is Bank’s electronic banking portal that is accessed via the <br />Internet. Authorized Representatives (see section 3) may use the CEO® to access (a) Bank <br />Services in which Company has seperately enrolled (each, an “Accessed Service”) and (b) <br />third-party sites Bank may make available through the CEO®. Bank offers different channels <br />through which Company may access the CEO® that may include without limitation personal <br />computers and mobile devices. Bank may add or eliminate channels at any time. A Bank <br />Service or third party site accessible through one channel may not be accessible through <br />another channel. The Service Documentation includes the Service Description for each <br />Accessed Service. In the event of a conflict between the Service Description for the Accessed <br />Service and this Service Description, the Service Description for the Accessed Service will <br />contol. <br /> <br />3. Access to the CEO®. When Company enrolls in the CEO® and as Bank may determine is <br />necessary after enrollment, Bank will (in accordance with section 4) provide one or more secure <br />means of accessing the Services (each, a “Log-On Credential”) to the persons who are <br />authorized to access the CEO® on Company’s behalf (each an, “Authorized Representative”). <br />Log-On Credentials may include without limitation Company and user IDs, passwords, token <br />IDs and other means of providing secure access to the CEO® Service that Bank adopts after the <br />date Company begins using the CEO® and may be changed by Bank at any time. Bank will <br />have no obligation to Company to authenticate separately any communication Bank receives in <br />6.1.D. - Page 87
