TM-1426 Commercial Electronic Office (“CEO®”) Service Description Page 2 of 3 <br />Revised 04-30-2014 <br />Company’s name through the CEO®, whether or not an Authorized Representative actually <br />issued the communication. Bank may, at Bank’s sole option, contact Company with respect to <br />any communication Bank receives in Company’s name, but Bank’s election to contact Company <br />with respect to one or more communication will not obligate Bank to contact Company with <br />respect to any subsequent communication Bank receives in Company’s name. <br /> <br />4. Administration of the CEO®. <br /> <br />4.1. General. Bank offers two options for administering the CEO®: (a) self-administration <br />and (b) Bank administration. <br /> <br />4.2. Self-Administration. If Company enrolls in Bank’s self-administration option, there are <br />three categories of Authorized Representatives: Company Administrator, Administrator <br />or User. Bank provides Bank’s then-current Log-On Credentials only to Company’s <br />initial Company Administrator(s) who will (a) assign Bank’s Log-On Credentials to other <br />individuals and (b) designate each such individual as (i) a Company Administrator, who <br />may perform all functions of Company’s initial Company Administrator; (ii) an <br />Administrator, who may perform all the functions of an Administrator including without <br />limitation designating other Administrator(s) and User(s); or (iii) a User, who may access <br />those Services as designated by a Company Administrator or an Administrator and <br />those in which Bank permits a User to self -enroll. Each Company Administrator and <br />Administrator has the authority to enroll Company in additional Services. Company will <br />promptly revoke the Log-On Credentials of any Authorized Representative when that <br />individual is no longer an Authorized Representative. <br /> <br />4.3. Bank Administration. If Company does not enroll in Bank’s self-administration option, <br />there is one category of Authorized Representatives: Users. Bank will assign Bank’s <br />then-current Log-On credentials to each User Company designates. Each User <br />Company designates will remain authorized until Bank has a reasonable time to act after <br />receiving Company’s notification that the User is no longer so authorized. <br /> <br />5. Restricting or Terminating Access to the CEO®. Bank will not be obligated to permit any <br />Authorized Representative to use any Service through the CEO® if Bank determines such use is <br />(a) not in accordance with any term applicable to the CEO®, (b) not permitted by any state or <br />federal law or regulation, (c) not authorized by Company or any third person whose <br />authorization Bank believes is necessary for such use, or (d) should be denied for Company’s or <br />Bank’s protection (without Bank’s agreeing to, or being required to, make this determination in <br />any circumstance). <br /> <br />6. Financial Information. Financial market data, quotes, news, research, and other financial <br />information developed by third parties and transmitted to Bank (collectively, "Financial <br />Information") may be available to Company at the CEO®. The posting of any Financial <br />Information or any other information or data at the CEO® will not be a recommendation by Bank <br />of any particular Service or transaction. Bank does not guarantee the accuracy or <br />completeness, (a) of any Financial Information, (b) is not responsible for the actions or <br />omissions of the third parties developing or transmitting Financial Information or (c) for any <br />decision made or action taken by Company in reliance on any Financial Information. <br /> <br />7. Cash Flow Analysis Service. This section contains additional terms applicable to Bank’s Cash <br />Flow Analysis Service. This Service enables Company to view and use certain data for global <br />cash positioning and forecasting and journal entry. Bank will automatically populate data from <br />6.1.D. - Page 88
