RECI7Al. City requires certain artistic services. Artist has the necessary experience in providing these services, has submitted a proposal ta City, and has affirmed its vyiliingness and ability to perform such worit. NOW, THEREFGRE, in consideration af these recitals and the mutua! covenants contained herein,the Parties agree as#oliows: 1. Scooe of Work. A�tist agrees to perform th�e services {the `Ssrvit:es"} that are defined in Enhibit"A,"attactaed hereto and incorporated herein by reterence. In the event of a canftict beMreen the provisions of Exhibit"R"and the terms of tfiis Agre�ment,the tsrms of this Agresment shall prevail.City shatl have the right ta madifjr the scape of v►rark to delste tasks in whale or in part. 2. Term. Unless ea�lier terminated, the term of this Agreement wip cammence upon the date flrst abave written and shall expire upon completian of tt�e Services by Artist. 3. Camoensatior�. 'ft�e totai fee paysble for the Services ta be performed will eighteen thousand, one hundred and farty doilars($18,1d0). Payment wiii be made pursuant to the terms af Exhibit"A."No other compensation for the Servic�s wiii be aliawed, excepi far items oovererl by subsequent arnendments to this Agreement. City reserves the �ight to withhald a ten percent (10°10) retenfion untit City has accepted the Services specified in Exhibit"A."There shati be no additiona!charge for�xpens�es unless agreed to by City. Payment shati occur only after rec�ipt by City of invoices suffiaentiy detailecf to inciude haurfy rates,hours wo�lced,and tasks performed,unless othe�wise agreed to by City. 4. Status of Ar#ist. Artist wi!! per#arm the Services as an independent contractor and in pursuit of Artist"s independent calling, and not as an employee af City. Artist will be under the cantral of City only as to the results to be accomplished. 5. Indemnfication, Artist wiil defend, indemnify and hold harmless City, and its off'icers, agents, empiayees and volunt�rs from and agalnst ail claims, damages, It�sses and expenses including attumey fiees arising out af the performanaa o€the Servicss, caused in whole or in part by the wiltful misconduct or any negt�gent act or amissian of the�Artist,any subcor►tractor, anyone directly or indirectty employed by any of them or anyone fo�whose acts any of them may be Ilable, except where causad by ihe sole negligence or willful misconduct of Clty. The Parties expressty agre+e that any�easonabie payrr►ent,attomeys fee,costs or sxpense City incurs or makes to cu on behal� af an injured employee under the City's seff-administered workers' compensatian is included as a loss, expense or cost fo� the purpases of this sectior�, and that th3s sect�on wili survive the expiratian ar eahy termination of tha Agreement. 6. insurance. Artist shail obtain and maintain for the duration oi ihe Agreement and any and ali ame�dments, insurance against ctaims for injuries to persons or !damage to property which may arise out ofi or in connection with perfa�rx►ance af the Services by Artist or Artist's agents, representatives, empioyees or subcarmactors. The i�surance carrie�r is required to maintai� an A.M, Best ratirrg of not less than"A-:VII". 6.1 C,�v��g��nd Limits.
