15. Termination. City or Consultant may terminate this Agreement at any time after <br /> a discussion, and written notice to the other party. City will pay ConsultanYs costs for <br /> Services completed up to the time of termination, if the Services have been completed <br /> in accordance with the Agreement. <br /> 16. Entire Aqreement. This Agreement, together with any other written document <br /> referred to or contemplated by it, along with the purchase order for this Agreement <br /> and its provisions, embody the entire Agreement and understanding between the <br /> parties relating to the subject matter of it. In case of conflict, the terms of the <br /> Agreement supersede the purchase order and any other attachment or exhibit. <br /> Neither this Agreement nor any of its provisions may be amended, modified, waived or <br /> discharged except in a writing signed by both parties. <br /> 17. Authoritv. The individuals executing this Agreement and the instruments <br /> referenced in it on behalf of Consultant each represent and warrant that they have the <br /> legal power, right and actual authority to bind Consultant to the terms and conditions <br /> of this Agreement. <br /> 18. CITY'S RESPONSIBILITIES. <br /> Site Information: City shall be responsible for providing Artist, at no cost to <br /> Artist, copies of existing designs, drawings, reports, and other relevant existing data <br /> needed by Artist in order to create the Work Product. <br /> Construction: City will create footings and attach artwork to the footings, <br /> provide water to each site, provide tools i.e. shovels, hoses, wheelbarrows etc. to <br /> facilitate the installation of the Work Product. <br /> Events: City will organize all collateral events such as Artist talks, mud dance <br /> events, public openings etc. as agreed to by the parties. <br /> 19. Approvals. <br /> The Artist shall provide designated representatives of the City the opportunity to <br /> review inspect, and approve the Work Product's progress at each of the designated <br /> times and stages listed below: <br /> A. Subtle design refinements and/or improvements to the Work Product left to <br /> the discretion of the Artist; and <br /> B. Initial inspection of the Work Product and/or working drawings immediately <br /> after execution of this Agreement to determine that the Work Product is in <br /> keeping with the Artist representations; and <br /> C. Review of design and installation method within 30 days prior to the <br /> commencement of installation; and <br /> D. Periodic on-site inspections as Work progresses; and <br /> E.
