� , � ��Il��'� AGREEMENT for the City of Redwood City 20142015 SLURRY SEAL PROJECT THIS AGREEAAENT, made this�day of 15, by and beiween Pavemerrt Coatings Co.whose plac�of bus ness is at 102 � San Sevaine Way,Jurupa Valley, CA 91752, hereinafter called "CONTRACTOR°, and the Cityr of Redwood Cit�r, a Charter City and municipal oorpo�ation of the State of Califomia, hereinafter referred to as"CITY". In consideration of the mutual covenarrits hereinafter set forth, Corrtractor and City agree as follows: I. WORK A. Corrtractor shall complete all Work specfied in the Contract documents, in acxordance with the Speaficatlons, Drawings, and all other terms and condifions of the Contract documer�ts. II. CONTRACT SUM A. City shall pay the Corrtractor as the °Contract Sum" for comple�an of Work in accordance with the Contract documents, as the amount of Four Hundred Sixty Three Thousand Five Hundred Sixty Five and No/100 Dollars ($463,565.00), camputed in accoMance with Contractor's Accc�pted Bid �epesa4 dated, July 2, 2015, which Bid Rfepesel is incorporated herein by refe�enos thereto as if fully set forth. B. The Corrtract Sum is all inclusive and includes all Work; all federal, state, and local taxes on materials and equipment, and labor fumished by Cotmactor, its subcontractors, subcansultants, architects, engineers, and vercdors or otherwise arising out of Contracto�'s performanoe of the Work, induding any increases in any such taxes during the term of this Agneemen� and any duties, fees, and royalties imposed with respect to any materials and equipmerrt, labor or services. The taxes oovered hereby indude (but are not limited to) occupational, sales, use, excise, unemployment, FICA, and income taxes,customs,du�es,and any and all othe�taxes on any item or service that is part of the Work, whether such taxes are normally induded in the price of such item or service or are normally stated separately. Notwithstanding the foregoirtg,each party shall bear such state or local inventory,real property, personal property or fixtures taxes as may be properly assessed against it by applicable taxing authorities. III. CONTRACT TIME AND LIQUIDATED DAMAGES A. Contractor shall c:omplete the Wotic within the following Schedule reflecting the date the Cor�tract Time commences to run as set fath in Sedion 00550 (Notice to Proceed)and Secction 00700(General Conditions); and 1. Contractor shall achieve Sulxstandal Completian of the Work within thirty-flve (35)Calendar Days from the date the Cor�tract Time commencas to run. B.
