� <br /> �G'���7��\�� <br /> PILOT PRQJECT AGREEMENT <br /> TO EVALUATE VIMOC TECHNOLOGIES'LA►NDSCAPE �OMPUTING PLATFORM <br /> BETWEEN VIMQC TECHNOLOGIES AND CITY OF REDWQOD �ITY <br /> This agreement for a pilot project for the evaluation a ViM G Technologies'Lantlscape <br /> �omputing Piatform (the "Agreement"), dated as of, � U , 2015 (the <br /> "Effective Date") is made by and befinreen VIMOC TECHNOL ES, a Delaware corporation <br /> with ("VIMOC"), and CITY OF REDWO�D C(TY, a public agenCy with the State of Cali�orrjia <br /> ("C1TY"), (VIMOC and the CITY are, individually,a"Party" and, collectively, the"Parties"). <br /> RECITALS <br /> A. VIMOC has develaped an advanced technology platfiorm called Landscape <br /> Computing enabling reliable and robust integFation of srnart city�ervices, VIMOC is providing a <br /> `test bed platform' for cities, municipalities and universities who want to evaluate, test and <br /> expl�re irrrplementation of Landscape Comput�ng in order to sol�e chaJlenging pFOblems rel�ted <br /> fa parking management in particular and GITY resource management 'rn general, with the goal <br /> of developing requirements and specifications for future procurements far large scale <br /> deployments. <br /> B. VIMOC has submitted a proposal to the CITY in which VIMOC' will install 175 <br /> parking sensors (on-pavement) on Jefferson, R�venue, Broaciway, Middlefield Road, and Main <br /> Sfreet in CJTY, install 15 related abave-ground hardware units to provide a �andscape <br /> Gomputing platform (internet Gateways, Computer Processc��, and N�twork Routers),; and <br /> provide related cloud-based software services, all as further d�fined in this Agreement in order <br /> to provide the CITY with an evaluatian platForm to assess the refiak�ility, robustness of <br /> Landseape Computing to provide parking management and autamation system and associated <br /> benefits on a wider scale in the CITY. <br /> C. The proposai for the pilot has been discussed by VIMOC and the CITY for <br /> implementation. <br /> D. The Scope of Services (as defined herein) and Hardware to be provided (as <br /> defined herein) are described in Exhibit"A", <br /> AGREEMENT <br /> In consideration of the abave Recitals and the following, covenants, terms, and <br /> conditions, the Parties agree; <br /> SECTION 1.DEFINITIONS. <br /> A. "Agreement" means these General Terms and Gonditions and all Exhibits <br /> attached hereto. <br /> B.
