C. "Hardware" means the nBox Modules, Network Routers, and Sensars provided <br /> by VIMOC to CITY hereunder, as more parficu(arly described in Eachibit A attached hereto. <br /> D. "inteilectual Property Rights" means all patents; design patents, and designs <br /> (whether or not capable af registration}, and other like protection, copyright, trademark, trade <br /> name, all rights arismg from the use of or existing in �or�nection with tic�main names, rights in <br /> trade dress, rights in or relating t€� databases, anti any 4ther form of statutory protection of any <br /> kind and any other 'rntellectual property rights (regis#ered or unregistered) throughaut the world <br /> including all rights of reversion and rights to any applicatians and pending registratians and the <br /> right to sue for and recover damages�or past infringements. <br /> E. "Landscape Computing Solution" means the Hardware, Embedded Software <br /> and Services provided by VIMOC. <br /> F. "Malicious Code" means viruses, worms, time bombs, Trojan horses and other <br /> harmful or malicious code,files, scripts, agents or prc�grams. <br /> G. "nBox Module" means the VIMOG applia'nce, whether 'physical or virtual, that <br /> interoperates with the Services. <br /> H. "Services" means the online, V1leb-based applications and platform provided by <br /> VIMOC via https://www.vimoctEChnologies.com, including associated offline components but <br /> excluding Third Party Applications. <br /> I. "Third-Party Applications" means anline, �lNeb-based applications and offline <br /> software products that are provided by third parties fhat may interoperate with the Services, and <br /> are identified by VIMOC as third-party applications. <br /> J. "Users" means individuals who are authorized by CITY to use the Services, and <br /> who have been supptied user identifications antl passwQrds by GITY {or by VIMOC at CITY <br /> request). Users may include but are notJimited to CITY employees, consultants, contractors and <br /> agents; or third parties with which CITY transacts business. <br /> K. "CITY Data" means all electronic data or informafron collected and stored by <br /> VIMOC and derived frorn CITY use of the Landscape Computing Solution. <br /> SECTION 2. TERM; TERMJNATtON. <br /> The term of this Agreement shall begin on the Effective Rate and shaU end at the conclusion of <br /> the Pilot Term defined in Exhibit A attached hereto("Term"), unless terminated earl'rer by a Party <br /> upon 14 days' prior written notice. <br /> SECTION 3. SCOPE OF SERVICES. <br /> VIMOC shall provide the Landscape Computing Solu#ion in accordance with the terms and <br /> conditions of this Agreement and its exhibits, including Exhibit"A". <br /> SECTION 4.
