(c) Payment; Customer shall pay the annual subscriptioz� charge fvr the initial term vf the Know]edgePass Educati4n Subscriptian in accordance with the payment terms on the Order Farrn. Kronos will send Custamer a renewal invoice for renewal of the KnawledgePass Educatian Subscription at least forty five (4S) days prior to expiration of the then currez�t term. KnowledgePass Educatian Subscription shall renew for an additional one (1) year term if Custamer pays such invaice before the end af the initial term or any renewal term. (d) Limitations: Customer recogmizes and agrees that the KnowledgePass Content is copyrighted by Kronas. Customer is pennitted to make copies of the KnowledgePass Cantent grovided in *pdf form sdely for Customer's internal use and may not disclose such KnowledgePass Content to any third party other than Gustomer's employees. Customer may not edit, modify, revise, arnend, change, alter, customixe or vary the KnowledgePass Content without the written cansent af Kron�os, provided that Customer may dow'r�load and modify contents of Training Kits solety for Customer's internal use, (e) Train-the-Trainer Program (TTT}: Certification wnder the Train-the-Trainer Progam is valid only for the point release of the Software far which the TTT Program is taken, and covers unly the Customer employee who campietes the TTT Prograrn. 17. CONFIDE�i'I'IAL INFC?RMATION "Con�idential Infornaation'" is defined as informat�ou that is; i� disclased between the parties after the date af this Agreement that is considered confidential or proprietary to the disclosing party; and ii) identified as"confiden#ial" at the time of disclasure, or would be reasanably obviaus to the receiving party to canstitute canfidential informatian because of legends ar ather markings, by the circumstances �f disclosure or the nature af the � infarmation itsel£ Additionally, the terms, conditions and pricing contained in this Agreement and the Order Form, the Software (and Software documentatian), and the Specifications shall be deerned to be Ifranos' Confidential Infarmation. Each party shall pratect the Confidential Information of the other party with at least the same degree of care and confidentiality,but not less than a reasonable standard of care,which such party utitizes for its own infarmation of sinxilaz character that it does not wish disclased to the public. �Teith�r garty shall disclase to third parties(except the pazent company or the wholly owned subsidiaries of the receiving party who have a need to know)the ather party's Canfidential Informatian, or use it for any purpose not explicitly set forth herein, withaut the prior written consent of the otlter parry.
