Cor�flict of Interest. City wiil evalua#e Consuitan#'s duties pursuant to this <br /> Agreement to determine whether disclosure under the Political Reform Act and Gity's <br /> Conflict �f interest Code is required of Consuttant or any of Cansultant's employees, <br /> agents, or subcantractors. Shouid it be determined that disctosure is required, <br /> Consultant or Cansultant's affected employees, agenEs, or subccmtractors will complete <br /> and file with the City Clerk thase schedules specifisd by City and contained in the <br /> Statement of Ecanomic fnterests Form 700. <br /> Consu�tant, fvr Consultant and on behalf of Consultant"s agen#s, employses, <br /> subcontractors and consultants warrants that by executian of this Agreement, tha# they <br /> have no interest, present or con#empla#ed, in the projects affected by this Agreement. <br /> Consultant further warrants tha# neither Consultan#, nar Consultar�t's ac,�ents, <br /> emplayees, subcontractors and consultants have any ancillary real property, business <br /> interests c�r incvme that will ae affected by this Agreernent or, altematively, that <br /> Consultan#will file with City an affidavit disclosing this interest. <br /> 18. General Gompliance with Laws. Gonsultant w'rlt keep fully infarmed of federat, <br /> state and local laws and ordinances and regulations which in any manner affect those <br /> emplayed by Consu[tant, or in any way affect the perFoRnance of the Services by <br /> Gonsultant. Cc�nsultant will at ali tirnes observe and comply with these laws, . <br /> ordinances, and regulations and will be responsible for the compliance of Gonsealfant's <br /> Services wi#h a11 applicable laws, ordinances and regulatians. <br /> 19. �iscrimination and Harassment Prohibited. Consuitant will +cc�mply with all <br /> applicat�le lacal, state and federal taws and regulations prohibiting discriminat�on and <br /> harassment. <br /> 20. Termination. In the event of the Consuitant's failure to prosecute, deliver, or <br /> perFarm the Services, City may terminate this Agreement for nonperformance by <br /> natifying Consultant in writing pursuant ta the notice provisions of this Agreement. <br /> If City decides ta abandon or postpone the work or services contemplated by this <br /> Agr��ment, City may terminate this Agreement upon written notice to Consuttant <br /> pursuant to the notice provisions of this Agreernent. Termination wiil be effective <br /> immediately upon not�cation. <br /> Either Party upon tendering thirty (30} days written natice to the ather party may <br /> terminate this Agreement. <br /> Wi#F�in iQ days of termination Consultant will assemble the work product without charge <br /> and put it ir� order for proper filing and ctasing and deliver it to City.
