11.4 Failure ta Maintain Covera�as. If Consul#ant faiis ta comply with these insurance requiremen#s, then City wifl have the aption #o declare Consultant in breach, or may purchase replacement insurance or pay the premiums that are due on existing policies in order to maintain the required caverages. Consultant is responsible for any payments made by City to obtain or maintain ir�surance and City may collect these payments from Consultant or deduct the amount paid from any sums due Consultant under this Agreement. 11.5 Submissian of insurance Policies. City resenres the right t+� require, at any time, complete copies of any or a!i required insurance policies and endorsements. 12. Business Lic�nse. Consultant will obtain and maintain a Gity of Redwood Ci#y Business License for the term of the Agreement, as may be amended from time-to-time. 13. Maintenar�ce of Records. Consuttant will maintain complete and accurate records with respect to costs incurred under this Agreement. All records will be clearly �dent�able. Consuitant wilt atlow a representative of City during normai business hours to examine, audit, and make transcripts or copi�s of records and any other documen#s created pursuant to this Agreement. Gonsultant wi{I allow inspection of ap work, data, documents, praceedings, and activities related to the Agreement f�ar a peric�d of three (3)years from the date of final payment under this Agreement. 14. Ownership of Docurnents. AN work praduct produaed by Consultant ar its agents, employees, and subcantraetors pursuant io this Ag�eement is the proper#y of City. in the event this Agreement is terminated, all work product produced by Gonsu#tant or its agents, ernployees and subcontractors pursuant to this Agreement will be delivered to City pursuant to the termination ctause of this Agreement. Consultant will have the right to mak�one {1) capy of the work product for ConsultanYs records. 15. Capyrights. Consultant agrees that all copyrights that arise from the Services will be vested in City and Consultant reiinquishes all claims to the capyrights in favar of City. 16. � tdotices.
