6.1.B. - Page 12 <br /> A. PROPOSER-VENDOR <br /> 2.1 Exclusive Vendor- A sole Vendor awarded in a product category. NJPA reserves the right to award <br /> to an Exclusive Vendor in the event that such an award is in the best interests of NJPA Members. Such a <br /> Proposer must exhibit the ability to offer an outstanding overall program and demonstrate the ability and <br /> willingness to serve NJPA Members in all 50 states, and comply with all other requirements of this RFP. <br /> 2_2 Potential Proposer-A person or entity requesting a copy of this RFP. <br /> 2.3 Proposer-A company,person, or entity delivering a timely response to this RFP. <br /> 2.4 Vendor- One of a number of Proposers whose proposal has been awarded a contract pursuant to this <br /> RFP. <br /> 2.5 Request for Proposal-Herein referred to as RFP <br /> B. CONTRACT <br /> 2.6"Contract"as used herein shall mean cumulative documentation consisting of this RFP, an entire <br /> Proposer's response, and a fully executed"Acceptance and Award"pursuant to this RFP. <br /> C. TIME <br /> 2.7 Periods of time, stated as number of days, shall be in calendar days. <br /> D. PROPOSER'S RESPONSE <br /> 2.8 A Proposer's Response is the entire collection of documents as they are received by NJPA from a <br /> Potential Proposer in response to this RFP. <br /> E. CURRENCY <br /> 2.9 All transactions are payable in U.S. dollars on U.S. sales. All administrative fees are to be paid in <br /> U.S. dollars. <br /> F. FOB <br /> 2.10 FOB stands for"Freight On Board"and defines the point at which responsibility for loss and <br /> damage of goods purchased are transferred from Seller to Buyer. "FOB Destination"defines the transfer <br /> of responsibility for loss are transferred from Seller to Buyer at the Buyer's designated delivery point. <br /> 2.11 FOB does not identify whom is responsible for the costs of shipping. The responsibility for the costs <br /> of shipping is addressed elsewhere in this document. <br /> 2. INSTRUCTIONS TO PREPARING YOUR PROPOSAL <br /> A. PRE-PROPOSAL CONFERENCE <br /> 3_1 A non-mandatory pre-proposal conference will be held at the date and time specified in the time line <br /> on page one of this RFP. Conference call and web connection information will be sent to all Potential <br /> Proposers through the same means employed in their inquiry. The purpose of this conference call is to <br /> allow Potential Proposers to ask questions regarding this RFP. Only answers issued in writing by NJPA <br /> 9 of 47 <br />
