(2) The insurance provided is primary and no insurance held or owned by City <br /> may be called upon to contribute to a loss. <br /> (3) This policy does not exclude explosion, collapse, underground excavation <br /> hazard, or removal of lateral support. <br /> (4) Any failure of Contractor to comply with reporting provisions of the policy <br /> shall not affect coverage provided to City and its officers, employees, agents, and <br /> volunteers. <br /> (5) Providing Certificates of Insurance and Endorsements. Prior to City's <br /> execution of this Agreement, Contractor shall provide to City the certificates of <br /> insurance and above-referenced endorsements sufficient to satisfaction of City's Risk <br /> Manager. In no event shall Contractor commence any work or provide any Services <br /> under this Agreement until certificates of insurance and endorsements have been <br /> accepted by City's Risk Manager. City reserves the right to require, at any time, <br /> complete copies of any or all required insurance policies and endorsements. <br /> 12. Status of Contractor. Contractor will perform the Services as an independent <br /> contractor and not as an employee of City. The persons used by Contractor to provide <br /> services under this Agreement shall not be considered employees of City for any <br /> purposes. <br /> 13. Pavment. The payment made to Contractor pursuant to the Agreement will be <br /> the full and complete compensation to which Contractor is entitled. City witl not make <br /> any federal or state tax withholdings on behalf of Contractor or its agents, employees or <br /> subcontractors. City will not be required to pay any workers' compensation insurance or <br /> unemployment contributions on behalf of Contractor or its employees or subcontractors. <br /> Contractor agrees to reimburse City within thirty (30) days for any tax, retirement <br /> contribution, social security, overtime payment, unemployment payment or workers' <br /> compensation payment which City makes on behalf of Contractor or any agent, <br /> employee, or subcontractor of Contractor for work done under this Agreement. At the <br /> City's election, City may deduct the reimbursable amount from any balance owing to <br /> Contractor. <br /> 14. Business License. Contractor will obtain and maintain a City of Redwood City <br /> Business License for the term of the Agreement, as may be amended from time-to=time. <br /> 15. Notices.
