For Citv: For Contractor: <br /> City of Redwood City Randazzo Enterprises, Inc. <br /> Attention: City Manager Attention: Bill Lynch <br /> 1017 Middlefield Road Project Manager <br /> Redwood City, CA 94063 13550 Blackie Road <br /> (650) 780-7000 Castroville, CA 95012 <br /> (831) 633-4420 <br /> Except as otherwise stated, all notices to be provided or that may be provided under <br /> this Agreement must be in writing and delivered by regular and certified mail. Each <br /> party will notify the other immediately of any changes of address that would require any <br /> notice or delivery to be directed to another address. <br /> 16. Discrimination and Harassment Prohibited. Contractor will comply with all <br /> applicable local, state and federal laws and regulations prohibiting discrimination and <br /> harassment. <br /> 17. Termination. In the event of the Contractor's failure to prosecute, deliver, or <br /> perForm the Services, City may terminate this Agreement for nonperformance by <br /> notifying Contractor in writing pursuant to the notice provisions of this Agreement. <br /> If City decides to abandon or postpone the work or services contemplated by this <br /> Agreement, City may terminate this Agreement upon written notice to Contractor <br /> pursuant to the notice provisions of this Agreement. Termination will be effective <br /> immediately upon notification. <br /> 18. False Claims. Contractor acknowledges that if a false claim is submitted to City <br /> by Contractor, it may be considered fraud and Contractor may be subject to criminal <br /> prosecution. Contractor acknowledges that California Government Code sections 12650 <br /> et seq., the False Claims Act applies to this Agreement and, provides for civil penalties <br /> where a person knowingly submits a false claim to a public entity. These provisions <br /> include false claims made with deliberate ignorance of the false information or in <br /> reckless disregard of the truth or falsity of information. If City seeks to recover penalties <br /> pursuant to the False Claims Act, it is entitled to recover its litigation costs, including <br /> attorney's fees. Contractor acknowledges that the filing of a false claim may subject <br /> Contractor to an administrative debarment proceeding as the result of which Contractor <br /> may be prevented to act as a Contractor on any public work or improvement for a period <br /> of up to five (5) years. Contractor acknowledges disbarment by another jurisdiction is <br /> grounds for City to terminate this Agreement. <br /> 19. General Provisions. <br /> 19.1 Assignment and Successors. Contractor may not assign its rights or <br /> obligations under this Contract, in part or in whole, without City's written consent.
