19.2 Third Party Beneficiaries. There are no intended third party beneficiaries <br /> to this Contract except as expressly provided in the General Conditions or Special <br /> Conditions. <br /> 19.3 Governing Law and Venue. This Contract will be governed by California <br /> law and venue will be in the Superior Court of the County in which the Project is located, <br /> and no other place. <br /> 19.4 Amendment. No amendment or modification of this Contract will be <br /> binding unless it is in a writing duly authorized and signed by the parties to this <br /> Contract. <br /> 19.5 Integration; Severability. This Agreement, together with any other written <br /> document referred to or contemplated by it, along with the purchase order for this <br /> Agreement and its provisions, embody the entire Agreement and understanding <br /> between the parties relating to the subject matter of it. In case of conflict, the terms of <br /> the Agreement supersede the purchase order and any other attachment or exhibit. <br /> Neither this Agreement nor any of its provisions may be amended, modified, waived or <br /> discharged except in a writing signed by both parties. If any provision of the Contract <br /> Documents, or portion of a provision, is determined to be illegal, invalid, or <br /> unenforceable, the remaining provisions of the Contract Documents will remain in full <br /> force and effect. <br /> 19.6 Authorization. Each individual signing below warrants that he or she is <br /> authorized to do so by the party that he or she represents, and that this Contract is <br /> legally binding on that party. If Contractor is a corporation, signatures from two officers <br /> of the corporation are required pursuant to California Corporation Code Section 313. <br /> 19.7. Paragraph Headin�. Paragraph headings as used herein are for <br /> convenience only and will not be deemed to be a part of such paragraphs and will not <br /> be construed to change the meaning thereof. <br /> 19.8. Authoritv.
