17. Notices. The name of the persons who are authorized to give written notices or to <br /> receive written notice on behalf of City and on behalf of Consultant under this Agreement. <br /> For City: For Consultant: <br /> City of Redwood City CDM Smith <br /> Diana O'Dell, Contract Administrator William Hurrell, Project Manager <br /> 1017 Middlefield Road 220 Montgomery St. , Suite 1418 <br /> Redwood City, CA 94063 San Francisco, CA 94104 <br /> 650.780.7236 415.653.3317 <br /> Except as otherwise stated, all notices to be provided or that may be provided under this <br /> Agreement must be in writing and delivered by regular and certified mail . Each party will notify <br /> the other immediately of any changes of address that would require any notice or delivery to <br /> be directed to another address. <br /> 18. Conflict of Interest. <br /> 18. 1 Consultant shall disclose any financial , business, or other relationship with City <br /> that may have an impact upon the outcome of this Agreement, or any ensuing City <br /> construction project. Consultant shall also list current clients who may have a financial <br /> interest in the outcome of this Agreement, or any ensuing City construction project, <br /> which will follow. <br /> 18.2 Consultant hereby certifies that it does not now have, nor shall it acquire any <br /> financial or business interest that would conflict with the performance of services under <br /> this Agreement. <br /> 18.3 Any subcontract in excess of $25,000 entered into as a result of this Agreement, <br /> shall contain all of the provisions of this Section 18. <br /> 18.4 Consultant hereby certifies that neither Consultant, nor any firm affiliated with <br /> Consultant will bid on any construction contract, or on any contract to provide <br /> construction inspection for any construction project resulting from this contract. An <br /> affiliated firm is one, which is subject to the control of the same persons through joint- <br /> ownership, or otherwise. <br /> 18.5 Except for subcontractors whose services are limited to providing surveying or <br /> materials testing information , no subcontractor who has provided design services in <br /> connection with this contract shall be eligible to bid on any construction contract, or on <br /> any contract to provide construction inspection for any construction project resulting <br /> from this contract. <br /> 19. General Compliance with Laws. Consultant will keep fully informed of federal, state and <br /> local laws and ordinances and regulations which in any manner affect those employed by <br /> Consultant, or in any way affect the performance of the Services by Consultant. Consultant <br /> will at all times observe and comply with these laws, ordinances, and regulations and will be <br /> responsible for the compliance of Consultant's Services with all applicable laws, ordinances <br /> and regulations. <br /> ATTY/AGR/2016.053/CDM SMITH <br /> REV: 03-22-16 JS <br /> Page 8 of 18 <br />
