<br />203193300.19 -32- <br /> <br />14.1.16 For individual members, that member’s payment history; and <br />14.1.17 Operator’s privacy policy; and <br />14.1.18 Translation capability to Cantonese, Spanish, and Vietnamese at a minimum. <br />14.2 Operator shall keep all information on the Program’s website updated. <br /> <br /> <br />SECURITY FUND <br />15.1 Prior to installation by Operator of the first new Station, Operator shall deposit with MTC <br />a security deposit (“Security Fund”) in the amount of $250,000.00. Interest on the Security Fund shall <br />accrue in an interest bearing bank account for the benefit of Operator, and all such interest shall be paid <br />annually to Operator on each anniversary of the Effective Date. <br />15.2 Operator shall maintain $250,000.00 in the Security Fund at all times during the Term and <br />for 90 days after the end of the Term. Upon expiration of the foregoing period, the remaining balance of <br />the Security Fund shall be disbursed to Operator, unless prior to the expiration of such 90-day period <br />MTC commences litigation against Operator, the underlying claim is covered by the Security Fund, and <br />such litigation is not finally resolved prior to the expiration of such period, in which case an amount of <br />the Security Fund equal to the amount of the outstanding claim shall be retained and only until such claim <br />is resolved. Any amounts remaining in the Security Fund that are not being retained in accordance with <br />this paragraph shall be promptly returned to Operator, and MTC shall fully and timely cooperate with the <br />payment of the Security Fund to Operator. <br />15.3 The Security Fund shall serve as security for the faithful performance by Operator of all <br />terms, conditions and obligations of this Agreement and shall be available for withdrawal under the <br />following circumstances: <br />15.3.1 If Operator breaches a payment obligation under this Agreement and fails to <br />remedy such breach within 10 business days following notice by MTC to Operator (a “Payment Breach”), <br />other than the payment of liquidated damages under Section 2.6.3, which is addressed in Section 15.3.5. <br />In the event of a Payment Breach, MTC shall be entitled to withdraw from the Security Fund the amount <br />of the money that is due and payable as set forth in such notice, unless within such 10 business day period <br />Operator initiates the Dispute Resolution Process by giving MTC notice stating that it contests the <br />occurrence of such Payment Breach or the amount thereof. This Section 15.3.1 does not cover a Default <br />under Section 18.1.1 (which is covered in Section 15.3.4). <br />15.3.2 If Operator commits a non-monetary breach under this Agreement that results in <br />damage to any municipal structure or property of MTC or a Participating City, Operator fails to repair <br />such damage within 30 days following notice by MTC to Operator and in response thereto MTC or the <br />applicable Participating City undertakes such repair (a “Property Damage Breach”), in which event MTC <br />shall be entitled to withdraw from the Security Fund the costs incurred by MTC or the applicable <br />Participating City to undertake such repair, provided such costs are reasonable. Notwithstanding MTC’s <br />withdrawal from the Security Fund for a Property Damage Breach, Operator shall have the right to contest
