Page 1 of 2 <br />ATTY/RESO.0018/CC RESO REFUNDING CFD 2010-1 APPOINTING CONSULTANTS <br />REV: 03-03-16 JS <br />RESOLUTION NO. _____ <br />RESOLUTION OF THE CITY COUNCIL OF THE CITY OF REDWOOD <br />CITY APPOINTING CONSULTANTS, PROVIDING AUTHORIZATION <br />FOR THE CITY MANAGER TO ENTER INTO CONTRACTS AND <br />DIRECTING STAFF TO TAKE CERTAIN ACTIONS IN CONNECTION <br />WITH THE REFUNDING OF OUTSTANDING CITY OF REDWOOD CITY <br />COMMUNITY FACILITIES DISTRICT NO. 2010-1 (ONE MARINA) <br />SPECIAL TAX BONDS SERIES 2011 <br />WHEREAS, the City Council of the City of Redwood City (the “City Council”) <br />wishes to issue City of Redwood City Community Facilities District No. 2010-1 (One <br />Marina) Special Tax Refunding Bonds, Series 2016 (the “2016 Bonds”) for the purpose <br />of refunding the outstanding City of Redwood City Community Facilities District No. 2010- <br />1 (One Marina) Special Tax Bonds, Series 2011 (the “2011 Bonds”); and <br />WHEREAS, the City Council desires to appoint William Euphrat Municipal <br />Finance, Inc., San Francisco, California, as municipal advisor for the 2016 Bonds; and <br />WHEREAS, the City Council desires to appoint Quint & Thimmig LLP, San <br />Francisco, California, as bond counsel for the 2016 Bonds; and <br />WHEREAS, the City Council desires to appoint Sidley Austin LLP, San Francisco, <br />California, as disclosure counsel for the 2016 Bonds; and <br />WHEREAS, the City Council desires to appoint Stifel, Nicolaus & Company, Inc. <br />as underwriter for the 2016 Bonds; and <br />WHEREAS, the City Council wishes to direct staff to prepare all necessary <br />proceedings and documentation for the proposed refinancing; <br />NOW, THEREFORE: <br />BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF REDWOOD CITY <br />AS FOLLOWS: <br />1. The above recitals are true and correct. <br />2. The City Council hereby acknowledges receipt of the proposal of the firm of <br />William Euphrat Municipal Finance, Inc. to act as municipal advisor to the City of Redwood <br />City in connection with the issuance of the 2016 Bonds. The City Council hereby <br />authorizes and directs the Interim Finance Director (or designee) to execute and deliver <br />an agreement with said firm for its services; provided that: (a) the agreement is consistent <br />with said firm’s proposal heretofore submitted to the City of Redwood City and contains <br />terms (including those regarding compensation) no less favorable to the City of Redwood <br />City than as set forth in such proposal, and (b) any and all compensation to such firm <br />under the agreement is payable solely from the proceeds of the 2016 Bonds. <br />6.3.A. - Page 6
