Page 2 of 2 <br />ATTY/RESO.0018/CC RESO REFUNDING CFD 2010-1 APPOINTING CONSULTANTS <br />REV: 03-03-16 JS <br />3. The City Council hereby acknowledges receipt of the proposal of the firm of <br />Quint & Thimmig LLP to act as bond counsel to the City of Redwood City in connection <br />with the issuance of the 2016 Bonds. The City Council hereby authorizes and directs the <br />Interim Finance Director (or designee) to execute and deliver an agreement with said firm <br />for its services; provided that: (a) the agreement is consistent with said firm’s proposal <br />heretofore submitted to the City of Redwood City and contains terms (including those <br />regarding compensation) no less favorable to the City of Redwood City than as set forth <br />in such proposal, and (b) any and all compensation to such firm under the agreement is <br />payable solely from the proceeds of the 2016 Bonds. <br />4. The City Council hereby acknowledges receipt of the proposal of the firm of <br />Sidley Austin LLP, to act as disclosure counsel to the City of Redwood City in connection <br />with the issuance of the 2016 Bonds. The City Council hereby authorizes and directs the <br />Interim Finance Director (or designee) to execute and deliver an agreement with said firm <br />for its services; provided that: (a) the agreement is consistent with said firm’s proposal <br />heretofore submitted to the City of Redwood City and contains terms (including those <br />regarding compensation) no less favorable to the City of Redwood City than as set forth <br />in such proposal, and (b) any and all compensation to such firm under the agreement is <br />payable solely from the proceeds of the 2016 Bonds. <br />5. The City Council hereby appoints Stifel, Nicolaus & Company, Inc. (the <br />“Underwriter”) to serve as underwriter for the 2016 Bonds and appoints such firm as <br />underwriter for the 2016 Bonds. The Interim Finance Director (or designee) is authorized <br />and directed to prepare or cause to be prepared a form of a bond purchase agreement to <br />be entered into by and between the City and the Underwriter in connection with the sale <br />of the Bonds to the Underwriter, such form of bond purchase agreement to be approved <br />by this City Council at a later date. <br />6. The City Manager, the Interim Director of Finance, the City Clerk and all <br />other members of the City’s management staff are hereby authorized and directed to take <br />such actions as are necessary or appropriate to prepare for a refinancing of the 2011 <br />Bonds, and to present to this City Council for its approval all documentation and <br />proceedings necessary in connection therewith. Nothing in this Resolution shall in any <br />way commit the City Council to issue the 2016 Bonds. <br />7.
