._�.i <br /> I. DESCRIPTION OF FUNDING TO BE PROVIDED BY RWC <br /> A. RWC will contribute $1W,000 to DOH for completis�n of all the work and <br /> services described herein. No other compensation for the work or services <br /> will be allowed,e3ccept for iterns covered by subseyuent amendments to this <br /> Agreement. <br /> l. RWC's $100,000 contribution will not be used for the County <br /> administrative costs. <br /> 2. The payment made to DOH pursuant to the Agreemeiat will be the full <br /> and complete compensation to which DON is entitled from RWC. <br /> 3. RWC will not make any federal or state ta�c withholdings on behalf of <br /> D4H or its agents,employees,or sabcontractors. <br /> 4. RWC wil]not be required to pay any workers'corapensation insurance <br /> flr unemploym�ent contributions on beh�lf of DOH or its employees or <br /> subcontractors. <br /> �. In the event tt�at RWC pays any taac, retirement contribution or, social <br /> security, or makes any overtime payment, unemployment payment or <br /> workers' compensation payment on behalf of DOH or any agent, <br /> employee, or subcontractor of DOH for work done under this <br /> Ageement, DOH agrees to reimburse RWC within thirty (3U) days of <br /> receipt of norice of payment, At RWC's election, RWC may deduct the <br /> reimbursable amount from any balance Qwing to DOH. <br /> B. The County will contribute $100,400.OQ of County Measure A funds to <br /> support the planning and the potential redevelopment of Middlefield <br /> Jur�ction. <br /> C. All fimding from RWC shall be used for payment of fees of the master <br /> planner and financial consultant selected through the RFP process and other <br /> master planning and project expenses for Middlefaeld Jun�tion, such as the <br /> undertaking of preliminary environmental and geotechnical studies. <br /> II. DESCRIPTIDN OF 3ERVICES T4 BE PROVIDED BY DOI•I <br /> I� consideration of RWC's provision of funding tv DOH as set forth in Section I <br /> above,DC)H agrees to provide the following services: <br /> A. �Zequestr for Proposals <br /> i.
