6.1.E. - Page 3 <br /> AMENDMENT NO. 3 TO EXTEND AND AMEND AGREEMENT FOR <br /> PROFESSIONAL SERVICES <br /> (Neal Martin &Associates) <br /> This Amendment No. 3 is entered into and effective as of <br /> 2016, extending and amending the agreement dated February 4, 2014 (the "Original <br /> Agreement") by and between the City of Redwood City, a charter city and municipal <br /> corporation of the State of California ("City"), and Neal Martin & Associates, <br /> ("Consultant") (collectively, the "Parties") for contract staffing in the Planning Division. <br /> RECITALS <br /> A. On February 4, 2014, the Parties executed the Original Agreement; and <br /> B. On July 22, 2014, the Parties executed Amendment No. 1 to Extend and <br /> Amend Agreement for Professional Services ("Amendment No. 1"); and <br /> C. On November 17, 2014, the Parties executed Amendment No. 2 to Extend <br /> and Amend Agreement for Professional Services ("Amendment No. 2")(the Original <br /> Agreement, Amendment No. 1 and Amendment No. 2 are referred to collectively as the <br /> "Agreement"); and <br /> The Parties have negotiated and agreed to amendments attached to and <br /> incorporated in by reference as Exhibit "A," Scope of Services and Fee. <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, the Parties agree as follows: <br /> 1. In addition to those services contained in the Agreement, Consultant will <br /> provide those services described in Exhibit "A." With this Amendment, the total <br /> Agreement amount shall not exceed Six Hundred Sixty Three Thousand Nine Hundred <br /> Ninety Five Dollars ($663,995). <br /> 2. City will pay Consultant for all work associated with those services <br /> described in Exhibit "A" on a time and materials basis not-to-exceed Four Hundred and <br /> Four Thousand Dollars ($404,000), for an aggregate amount of ($693,995). Consultant <br /> will provide City, on a monthly basis, copies of invoices sufficiently detailed to include <br /> hours performed, hourly rates, and related activities and costs for approval by City. <br /> 3. Consultant will complete all work described in Exhibit "A" <br /> 4. All other provisions of the Agreement will remain in full force and effect. <br /> 5.
