EXHIBIT C - WARRANTY <br /> IPS Limited Warranty <br /> IPS Group, Inc. will provide a limited warranty for any new meter product <br /> manufactured and supplied by IPS for 36 months against defects in materials and <br /> workmanship from the date of installation or, if installation is delayed through the <br /> sole fault of the City, 90 days from the date of delivery, whichever is sooner, and 90 <br /> days from the date of delivery received in the case of spare or repaired products. <br /> Additional Provisions: <br /> • IPS must have the opportunity to assist in the initial deployment and system installation. <br /> • Repair or replacement under warranty of any defective product or sub-component does <br /> not extend the warranty period for that product or sub-component. <br /> • IPS will either repair or replace products, at our discretion, to replace parts that are <br /> found to be defective within the warranty period. <br /> • Returns for credit will only apply once IPS has confirmed that defects were within <br /> the warranty period and are covered under the terms and conditions of the warranty <br /> provided. <br /> Exclusions: <br /> • Problems caused by faulty installation of replacement components or damage due to <br /> inadequate packaging for meter components retuned for warranty repair. <br /> • Warranty voided by use of non-IPS replacement parts, un-authorized alterations to the <br /> equipment (hardware or software. <br /> • IPS does not cover defects caused by improper care or use, lack of preventative <br /> maintenance, and does not warranty any defects due to vandalism or other factors <br /> contained as a part of the Force Majeure clause below. <br /> • Force Majeure: IPS shall not be liable for any warranty provisions where such product <br /> failure is as a result of Acts of Nature (including fire, flood, earthquake, storm, <br /> hurricane or other natural disaster), war, invasion, act of foreign enemies, hostilities <br /> (whether war is declared or not), civil war, rebellion, revolution, insurrection, military <br /> or usurped power or confiscation, terrorist activities, nationalization, government <br /> sanction, blockage, embargo, labor dispute, strike, lockout or interruption or failure of <br /> electricity (or cellular telecommunication failures caused by any of the events or causes <br /> described above). <br /> Preventative Maintenance (Meters): <br /> • The City shall be responsible for first line maintenance including, replacement of <br /> batteries, paper, clearing of coin jams and card jams, and the like, including the <br /> necessary general day-to-day maintenance that ensures the equipment is in good <br /> working order. <br /> • Meters surfaces should be kept clean with mild soap and water <br /> • The card reader heads (and Bill Note Reader, if applicable) should be cleaned with a <br /> REV: 05-05-16 JS <br /> Page 175 of 177 <br /> ATTY/AGR.2016.094/IPS Group <br />
