2.2. Schedule. IPS shall adhere to the schedule set forth in Exhibit B ("List of Project Deliverables, <br /> Schedule, and Pricing"), which is incorporated herein by reference, provided that City in its <br /> discretion may grant reasonable extensions of time for the performance of such services <br /> occasioned by unusually lengthy governmental reviews of IPS's work product or other <br /> unavoidable delays occasioned by circumstances. IPS acknowledges the importance to City of <br /> City's project schedule and agrees to use its best professional efforts to meet the schedule. City <br /> understands that IPS's performance must be governed by sound practices. <br /> 2.3. Warranty and Maintenance. <br /> 2.3.1. IPS shall provide repair and maintenance services as described in Exhibit C ("Warranty and <br /> Maintenance Services Terms"), which is incorporated herein by reference hereto. <br /> 2.3.2. IPS shall provide technical support via telephone Mondays through Fridays from 8:00 AM to <br /> 4:00 PM PST. IPS shall provide on-site technical support within 24 hours Mondays through <br /> Fridays from 8:00 AM to 4:00 PM. IPS shall ensure the availability of current manuals and <br /> shall provide all manuals for any future upgraded or new services. <br /> 2.3.3. The Contractor shall bear risk of loss of the Equipment, including any damage sustained <br /> during transportation to the delivery site. Risk in the Equipment shall pass to City upon <br /> delivery to the City. Transfer of title to Equipment shall pass to City upon payment, <br /> 2.3.4. THE WARRANTIES CONTAINED IN THE AGREEMENT DOCUMENTS ARE CONTRACTOR'S <br /> SOLE AND EXCLUSIVE WARRANTIES. THE EXTENT OF THE CONTRACTORS LIABILITY <br /> FOR A WARRANTY CLAIM IS LIMITED TO THE REPAIR OR REPLACEMENT OF THE <br /> DEFECTIVE EQUIPMENT. CONTRACTOR AFFIRMATIVELY EXCLUDES ANY AND ALL <br /> OTHER WARRANTIES, CONDITIONS, OR REPRESENTATIONS (EXPRESS OR IMPLIED, ORAL <br /> OR WRITTEN), WITH RESPECT TO THE SERVICES PROVIDED INCLUDING ANY AND ALL <br /> IMPLIED WARRANTIES OR CONDITIONS OF TITLE, MERCHANTABILITY, OR FITNESS OR <br /> SUITABILITY FOR ANY PURPOSE (WHETHER OR NOT THE CONTRACTOR KNOWS, HAS <br /> REASON TO KNOW, HAS BEEN ADVISED, OR IS OTHERWISE IN FACT AWARE OF ANY SUCH <br /> PURPOSE) WHETHER ARISING BY LAW OR BY REASON OF CUSTOM OF THE TRADE. <br /> 3. City Services & Responsibilities. The City agrees to: <br /> 3.1. Make available to IPS any currently existing documents, data or information required for the <br /> performance of the Services, including any material updates therein. <br /> 3.2. Designate a representative authorized to act on behalf of the City. <br /> 3.3. At its own cost and expense, perform the Preventative Maintenance described in Exhibit C.
