Code § 27383. <br />STORMWATER TREATMENT MEASURES <br />MAINTENANCE AGREEMENT <br />275 Oracle Parkway <br />THIS STORMWATER TREATMENT MEASURES MAINTENANCE AGREEMENT <br />(“Agreement”) is made and entered into as of __________________, 2016 (“Effective Date”), by <br />and between the CITY OF REDWOOD CITY, a charter city and California municipal corporation <br />(“City”), on the one hand, and CENTRUM OWNERS ASSOCIATION, a California nonprofit <br />corporation (“COA”), ORACLE AMERICA, INC., a Delaware corporation (“OAI”), and <br />ORACLE CORPORATION, a Delaware corporation (“Oracle” and together with COA and OAI, <br />the “Property Owner”), on the other hand. <br />RECITALS <br />A. On October 14, 2009, the Regional Water Quality Control Board, San Francisco <br />Bay Region, adopted Order R2-2009-0074, amending the San Mateo Countywide NPDES <br />Municipal Stormwater Permit (Order 99-059, CAS0029921) (the “NPDES Permit”); and <br />B. Provision C.3. of the NPDES Permit, as it may be amended or reissued from time <br />to time, requires the permittee public agencies to provide minimum verification and access <br />assurances that all treatment measures shall be adequately operated and maintained by entities <br />responsible for the stormwater treatment measures; and <br />C. COA is the current fee owner of that certain real property situated in the City of <br />Redwood City, County of San Mateo, State of California described on Exhibit “A-1”, attached <br />hereto and incorporated by this reference as if fully set forth herein (the “Property”). A portion of <br />the Property known as the 275 Oracle Parkway site is being developed as a charter school project, <br />which portion is described on Exhibit “A-2” (the “School Site Portion of the Property”). COA has <br />appointed OAI as its agent in connection with obtaining the necessary governmental approvals for <br />such development of the Property and COA intends to convey the School Site Portion of the <br />Property to OAI once such approvals have been obtained. Further, Oracle owns the parcel of land <br />that lies adjacent to the Property to the east thereof (the “Adjacent Property”), as more particularly <br />described in Exhibit “A-3”, attached hereto and incorporated herein by this reference as if fully set <br />forth herein.
