� 5� I �B -2 � <br /> AGREEMENT FOR CHILD CARE CONSULTING SERVICES <br /> [Child Care Coordinating Council of San Mateo County, Inc.] <br /> THIS AGREEMENT is made and entered into as of the day of <br /> , 2004, by and between the City of Redwood City, a charter city <br /> and municipal corporation of the State of California ("City"), and the Child Care <br /> Coordinating Council of San Mateo County, Inc., a California Non-Profit Corporation <br /> ("Council") (collectively, the "Parties"). <br /> RECITALS <br /> WHEREAS, Council is an organization which provides child care related <br /> referrals, support, training, subsidies and advocacy programs; and, <br /> WHEREAS, Council has need for support services from a contractor experienced <br /> in child care related issues; and <br /> WHEREAS, City is able and willing to provide child care related support services <br /> to the Council. <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, the Parties agree as follows: <br /> 1. Scope of Work. City agrees to render, services (the "Services") that are defined <br /> in the attached Exhibit "A," which is incorporated by this reference in accordance with <br /> this Agreement's terms and conditions. Kristen Anderson, the City's Child Care <br /> Coordinator, will provide the Services on behalf of City. <br /> 2. Term. Unless earlier terminated, the term of this Agreement will be effective <br /> from August 1, 2004 to June 30, 2005 (the "Initial Agreement Term"). Following the <br /> Initial Agreement term, upon mutual agreement of the Parties, the City Manager may, <br /> by written amendment, annually renew this Agreement for each subsequent Agreement <br /> year. <br /> 3. Compensation. Council will pay City a total not to exceed sum of $20,372 for the <br /> Services (personnel costs -$19,372; support supplies- $1,000). Personnel costs are <br /> charged at $40.36 hourly for 480 hours (.25FTE for 48 weeks). Payment will be made <br /> to City on a quarterly basis and be based on invoices submitted to Council by City. <br /> Upon mutual agreement of the Parties, the City Manager may, by written amendment, <br /> agree to adjust the City's hourly commitment and City's hourly rate. <br /> 4. Status of Citv. City will perform the Senrices in City's own way as an <br /> independent contractor and in pursuit of City's independent calling and not as an <br /> employee of Council.
