City Project <br />Manager or her/his designee will conduct periodic program progress reviews. <br /> <br />14.0 PROPRIETARY CONSIDERATIONS AND DATA SECURITY <br /> <br />14.1 All materials, data and other information of any kind obtained from City personnel <br />shall only be used in the performance of this Agreement. All materials, data, reports, <br />programs, and other information of any kind developed or supplied by Contractor in the <br />performance of this Agreement are confidential to and remain solely the property of <br />Contractor. Both parties shall take all necessary measures to protect the security and <br />confidentiality of all such materials, data, reports, programs and information. The <br />provisions of this Paragraph shall survive the expiration or other termination of this <br />Agreement. <br /> <br />14.2 Subject to the requirements imposed upon City by the Public Records Act, both <br />parties agree to protect the security of and keep confidential all materials, data, reports, <br />programs and information received or produced under this Agreement. <br /> <br />14.3 Both parties agree they shall not disclose any details in connection with this <br />Agreement to any party, except as may be otherwise provided herein or required by law. <br />In recognizing Contractor's need to identify its services and related clients to sustain itself, <br />City shall not prohibit Contractor from publicizing its role under this Agreement. Written <br />approval by the City Manager shall, however, be required. City Managers approval shall <br />not be unreasonably withheld or delayed. <br /> <br />15.0 PATENT, COPYRIGHT AND TRADE SECRET INDEMNIFICATION <br /> <br />Contractor shall indemnify, hold harmless and defend City from and against any and all <br />liability, damages, costs, and expenses for, or by reason of any infringement of any <br />United States patent, copyright, or any trade secret disclosure, arising from or related to <br />the operation and utilization of Contractor's work under this Agreement. <br /> <br />16.0 OWNERSHIP OF DOCUMENTS <br /> <br />It is understood and agreed that City shall own all documents and other work product of <br />Contractor, except Contractor's notes and work papers, which pertain to the work <br />performed under this Agreement. City shall have the sole right to use such materials in <br />its discretion and without further compensation to the Contractor, but any re-use of such <br />documents by City on any other project without prior written consent of Contractor shall <br />be at the sole risk of City. Contractor shall at its sole expense provide all such <br />documents to City upon request. <br /> <br />17.0 WARRANTIES <br /> <br /> <br />
