1) Make sure minutes are taken at each meeting. The minutes should <br /> reflect all voting decisions made by the board or commission. All minutes <br /> should be reviewed very thoroughly by each board member. If a member is <br /> not familiar with a matter to be voted on, it is better to abstain during <br /> the voting process. <br /> 2) Very few suits are filed against Boards of Directors and the suits that <br /> are filed are related to employee grievances. Make sure that all personnel <br /> policies are up to code and get the help of the Human Resources Department <br /> to review them if necessary. <br /> 3) Boards of Directors cannot use their position to financially benefit <br /> themselves or their business. <br /> 4) You cannot be sued if the corporation goes under or be held accountable <br /> for unpaid bills of the company. At a minimum, you should ask to see a <br /> quarterly financial statement. <br /> 5) Make sure the board as a group runs well and that paid staff are taking <br /> care of their responsibilities. You are responsible for following through <br /> on matters you have delegated to others. Directors cannot avoid or <br /> delegate duty to escape liability. <br /> Ms. Haran said that new commission members should receive a job description <br /> and know what is expected of them (e.g. must attend meetings, read minutes, <br /> take responsibility). A discussion was held regarding the liability of <br /> volunteer drivers. Ms. Haran suggested that a general liability policy can <br /> be purchased at a cost of $50.00 per year and $1.00 per volunteer driver <br /> which will cover volunteer drivers over and above what is required by <br /> California law. She will send this information to Supervisor Kucala. <br /> ITEM 2 - Transportation <br /> Commissioner Anthony has spoken to many groups on the subject of <br /> paratransit to make them aware of issues for the mobility impared and will <br /> be attending a meeting of TRIPS today. Commissioner Metzdorf shared <br /> material she received regarding the Project Action training program. <br /> Chairperson Jordan mentioned that people are still needed from San Mateo <br /> County for this program and Commissioner Metzdorf said she will give out <br /> some of the applications at her next Section 504 meeting. <br /> Commissioner Metzdorf was recently appointed a member of the Section 504 <br /> Self-Evaluation Committee and said that six sub-committees are being <br /> formed. She said she has volunteered for the Communication and <br /> Transportation sub-committees and will keep the Commission advised. <br /> Supervisor Kucala said the Police Department is thinking of deregulating <br /> the agreements they have with the taxi companies due to insurance <br /> requirements and the time it takes to monitor the program, but not due to <br /> the service levels the taxi companies were providing. <br /> ITEM 3 - Workshop with City Council <br /> Commissioner Anthony said that when he was interviewed by the City Council <br /> during his reappointment to the Commission, it was suggested that perhaps a <br /> committee of commissioners meet with a couple of the Council members to <br /> discuss our concerns about problems facing seniors on fixed incomes in <br /> regard to increased taxes, costs, etc. He asked the Commissioners to think <br /> about this matter and contact him with any ideas they may have. It was <br />
