2. Section 1 . 1 is hereby amended to add the phrase "the Owner of the Commercial <br /> Parcel." <br /> 3. Sections 5. 1, 5.2 and 5.3 are amended in their entirety as follows: <br /> "5. 1 Maintenance of Improvements. Except as provided otherwise in the REA, <br /> each party shall maintain, at its sole cost and expense, the Improvements within or on its Parcel <br /> in good and clean order and condition and in compliance with all Laws and shall make all <br /> necessary appropriate repairs and replacements thereof with materials of good quality within a <br /> reasonable time. <br /> 5.2 Damage or Destruction to Improvements. <br /> (1) Except as provided otherwise in this REA, if all of any portion of <br /> the Improvements is damaged or destroyed, each Party shall, within a reasonable time, <br /> commence and complete (subject to Force Majeure) the restoration, replacement, or rebuilding <br /> ("Restoration") of the Improvements within or on such Party's Parcel (including Common <br /> Building Components, shared Supporting Structures and shared Utility Facilities), at least to <br /> substantially the condition existing before such damage and destruction, to the extent possible <br /> under the Laws. <br /> (2) If the damage or destruction from the same occurrence occurs to <br /> Improvements on both the Commercial Parcel and Residential Parcel or involves Common <br /> Building Components, shared Supporting Structures and Utility Facilities, then the Parties will <br /> coordinate the Restoration of those Improvements to ensure the overall integrity of the <br /> Improvements and Property. Such coordination shall include but not be limited to the selection <br /> 3 <br />
