ATYY/AGR/2016/AMENDMENTS/AMEND NO.1 BADAWI <br />REV: 08-31-16 JS <br />Page 1 of 3 <br />AMENDMENT NO.1TO AGREEMENT FOR PROFESSIONAL SERVICES <br />(Badawi & Associates) <br /> <br /> This Amendment No.1 is entered into and effective as of the ___ day of <br />September, 2016, amending the agreement dated May 11, 2016 (the “Agreement”) by <br />and between the City of Redwood City, a charter city and municipal corporation ("City"), <br />and Badawi & Associates, (“Consultant") (collectively, the “Parties”) for professional <br />services. <br /> <br />RECITALS <br /> <br />A. On May 11, 2016 the Parties entered into the Agreement; and <br /> <br />B. The Parties have negotiated and agreed to a supplemental scope of work <br />and fee schedule, which is attached to and incorporated by this reference as Exhibit <br />"A," Scope of Services and Fee. <br /> <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br /> <br /> 1. In addition to those services contained in the Agreement, as may have <br />been amended from time to time, Consultant will provide those services described in <br />Exhibit "A." <br /> <br /> 2. City will pay Consultant for all work associated with those services <br />described in Exhibit “A” Five Thousand dollars ($5,000.00), for an aggregate amount <br />under the Agreement of Sixty Five Thousand dollars ($65,000.00). The additional <br />$5,000 will be paid according to the same payment schedule set forth in Exhibit B of the <br />Agreement. <br /> <br /> 3. Consultant will complete all work described in Exhibit “A” by December <br />31, 2016. <br /> <br /> 4. All other provisions of the Agreement, as may have been amended from <br />time to time, will remain in full force and effect. For the sake of clarity, the supplemental <br />scope of work and associated fees described in this amendment are in addition to, and <br />do not replace, the scope of work and fees described in the Agreement as signed on <br />May 11, 2016. <br /> <br /> 5. All requisite insurance policies to be maintained by Consultant pursuant <br />to the Agreement, as may have been amended from time to time, will include coverage <br />for this Amendment. <br /> <br /> <br /> <br /> <br />6.1.I. - Page 3
