REPORT <br />To the Honorable Mayor and City Council <br />From the City Manager <br /> <br />September 12, 2016 <br /> <br />SUBJECT <br />Amendments to Agreements with MuniServices, LLC and Donald H. Maynor, a <br />Professional Corporation, for a Utility Users Tax Compliance and Revenue Protection <br />Program <br /> <br />RECOMMENDATION <br />Authorize, by motion, the City Manager to (1) execute Amendment No. 1 to an <br />agreement with MuniServices, LLC for a Utility Users Tax and Revenue Protection <br />Program, which Amendment extends the term of the agreement through December 31, <br />2016 and provides that City shall pay MuniServices, LLC $16,726.04 for the period of <br />July 1, 2016 to December 31, 2016 and (2) execute Amendment No. 1 to an agreement <br />for legal services with Donald H. Maynor, a Professional corporation, which Amendment <br />extends the term of the agreement through December 31, 2016 and provides that City <br />shall pay Donald H. Maynor $9,006.32 for the period of July 1, 2016 to December 31, <br />2016 <br /> <br />BACKGROUND <br />Effective August 1, 2015, the City entered into a professional services agreement with <br />MuniServices, LLC (“MuniServices”) to provide a comprehensive utility users <br />tax/franchise compliance and revenue protection program (the “MuniServices <br />Agreement”). The term of the agreement has not expired and the maximum agreement <br />amount is $60,000. On August 24, 2015, City entered into an agreement with Donald H. <br />Maynor, a Professional Services Corporation (“Donald H. Maynor”) for provision of legal <br />services in connection with the services provided by MuniServices pursuant to the <br />MuniServices Agreement (the “Maynor Agreement”). Both the MuniServices Agreement <br />and the Maynor Agreement provide that a portion of the fees contemplated in the <br />MuniServices agreement shall be paid to Donald H. Maynor. <br /> <br />While neither the MuniServices Agreement nor the Maynor Agreement have terminated, <br />Donald H. Maynor has indicated that it will no longer provide legal services to the City <br />after December 31, 2016. For this reason, each agreement needs to be amended to <br />provide that each agreement shall terminate as of December 31, 2016. In addition, each <br />agreement needs to be amended to establish the fees that will be paid by City for the <br />period from July 31, 2016 to December 31, 2016. <br />6.1.O. - Page 1
