Page 1of 4 <br />REV: 09-02-16 JS <br />ATTY/AGR.Amend No. 1/Muniservices UUT Amendment 2016 <br /> <br />AMENDMENT NO. 1 TO AGREEMENT FOR PROFESSIONAL SERVICES <br />MuniServices, LLC <br /> <br />This Amendment No. 1 is entered into and effective as of the day of <br />September, 2016, amending the agreement dated August 1, 2015 (the "Agreement") by <br />and between the City of Redwood City, a charter city and municipal corporation of the <br />State of California ("City"), and MuniServices, LLC, a Delaware Limited Liability <br />Company ("Consultant") (collectively, the "Parties") for professional services. <br /> <br />RECITALS <br /> <br />A. On August 1, 2015, the Parties entered into the Agreement; and <br /> <br />B. The Parties have negotiated and agreed to amend certain terms of the <br />Agreement as set forth in this Amendment No.1. <br /> <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br /> <br />1. Section 3 of the Agreement is hereby amended and restated in its entirety <br />to read as follows: <br /> <br />"3. Term. Unless earlier terminated, the term of this Agreement will <br />commence upon the date first above written and shall expire on December 31, <br />2016." <br /> <br />2. Section 6 of the Agreement is hereby amended and restated in its entirety <br />to read as follows: <br /> <br />"6. Compensation. City shall pay to Consultant an amount not to exceed <br />Seventy-Seven Thousand Dollars ($77,000.00) for the completion of all the work <br />and services described herein, which sum shall include all costs or expenses <br />incurred by Consultant, payable as set forth in Exhibit A, attached hereto and <br />made a part hereof by reference. The previous sentence and Exhibit A <br />notwithstanding, for all Services provided between July 1, 2016 and December <br />31, 2016 (the "July-December 2016 Period") City shall pay Consultant two <br />quarterly payments, each in an amount for $8,363.02. Provided that Consultant <br />has performed all Services called for by this Agreement, the first quarterly <br />payment will be due on September 30, 2016, and the second quarterly payment <br />will be due on December 31, 2016. Consultant agrees that no other <br />compensation will be due to Consultant for Services rendered during the July- <br />December 2016 Period. The quarterly payments for the July-December Period <br />are exclusive of any fees owed to Donald H. Maynor for legal services rendered <br />in connection with the Services during the July-December 2016 Period. Any such <br />fees for legal services will be paid directly by City to Donald H.
