<br /> and any and all other structures or facilities operated or maintained in connection with or <br /> for the benefit of the Building, and all parcels or tracts of land on which all or any portion <br /> of the Building or any of the other foregoing items are located, and any fixtures, machinery, <br /> equipment, apparatus, Systems and Equipment (as defined' in Section 3.3.3 below), <br /> furniture and other personal property located thereon or therèin and used in connection <br /> therewith, whether title is held by Landlord or its affiliates. Possession of areas necessary <br /> for utilities, services, safety and operation of the Property, including the Systems and <br /> Equipment, fire stairways, perimeter walls, space between the finished ceiling of the <br /> Premises and the slab of the floor or roof of the Property thereabove, and the use thereof <br /> togeth~r with the right to install, maintain, operate, repair, and replace the Systems and <br /> Equipment, including any of the same in, through, under or above the Premises in <br /> locations that will not materially or adversely interfere with Tenants use of the Premises, <br /> are hereby excepted and reserved by Landlord and not demised to Tenant. <br /> 1.2 Commencement, Term, and Expiration. <br /> The term ("Term") of this Lease shall commence on the 1st dåy of <br /> September, 2000 ("Commencement Date") and shall end on the 31st day of August', 2005 <br /> ("Expiration Date"), unless sooner terminated as provided herein. <br /> 1.2.2 Extension Option. Tenant is hereby granted one (1) nontransferable <br /> and personal option which includes Tenant's successor or related entities to extend the <br /> Term of the Lease for a single additional period of Five (5) years (the "Extension Term") <br /> for space Tenant will occupy. The Extension Term shall begin the first day following the <br /> Expiration Date and shall take effect on the same terms and conditions in effect under the <br /> Lease immediately prior to the Extension Term, except that Tenant shall have no further <br /> right to renew thereafter and monthly Base Rent shall be payable at the rate of one <br /> hundred (100%) percent of "Fair Market Rent," as defined below, for leases of at least Five <br /> (5) years' duration in comparable buildings and office space in Redwood Shores. The <br /> option to extend may be exercised only by giving Landlord written notice thereof no earlier <br /> than one (1) year and no later than six (6) months prior to the commencement of the <br /> Extension Term. Said exercise shall, at landlord's election, be null and void if an Event <br /> of Default on the part of Tenant exists under the Lease at the date of said notice or as of <br /> the commencement of the Extension Term. Within thirty (30) days after receiving Tenant's <br /> notice exercising such option to extend, Landlord shall provide Tenant notice of its <br /> determination of Fair Market Rent.
