Consultant will bind every <br /> subcontractor and every subcontractor of a subcontractor by the terms of this <br /> Agreement a pp licable to Consultant's s work unless ess specifically noted to the <br /> contrary in the subcontract and approved in writing by City. <br /> 8.. A new Section 19 is hereby added to the Agreement to read in its entirety as <br /> follows: <br /> Section 19. Ownership of Documents. Any reports and other material prepared <br /> by or on behalf of Consultant under this Agreement (collectively,g <br /> { y, <br /> "Documents") shall be and remain the property of Consultant. City may request <br /> copies of such Documents, and to the extent Consultant agrees to provide <br /> copies of such Documents, they may be used by City and its agents,. <br /> employees, representatives, and assigns, in whole or in part, or in modified <br /> form, for all purposes City may deem appropriate without further employment of <br /> or payment of any compensation to Consultant. <br /> In the event this Agreement is terminated, all work product produced by <br /> Consultant or its agents, employees and subcontractors pursuant t o this <br /> Agreement will be delivered to City pursuant to the termination clause of this <br /> Agreement. Consultant will have the right to make one (1) copy of the work <br /> product for Consultant's records. <br /> 9. A new Section 20 is hereby added to the Agreement to read in its entirety as. <br /> follows: <br /> Section 20. Copyrights. To the extent that the Services provided by Consultant <br /> are generated by Consultant's proprietary software, nothing contained herein is <br /> intended nor shall it be construed to require Consultant to provide such software <br /> to City. City agrees that it has no claims of ownership, including copyright, <br /> patents or other intellectual property rights to Consultant's software.. Nothing in <br /> this Agreement shall be construed to grant City any rights to Consultant's <br /> materials created prior to the execution of this Agreement. All of the deliverables <br /> under this Agreement are specifically set out in Exhibit W. <br /> 10. A new Section 21 is hereby added to the Agreement to read in its entirety as <br /> follows: <br /> Section 21. Data Accuracy. Consultant shall provide guidance to the City in <br /> determining the data required. The City represents that all financial and <br /> statistical information provided to Consultant by City, its employees and/or <br /> agents is accurate and complete to the best of City's knowledge. The City further <br /> acknowledges agrees es and a g that <br /> g g Consultant shall be entitled to rely upon the <br /> accuracy and completeness of the data to perform the Services. City shall <br /> provide all such data in a timely manner sufficient to allow Consultant to provide <br /> the Services.
