A new Section 22 is hereby added to the Agreement to read in its entirety as <br /> follows: <br /> Section 22. Consultant Liability if Audited. Consultant shall., upon notice of <br /> audit, make work papers and other records available to the auditors. <br /> Consultant's sole responsibility under an audit shall be to provide reasonable <br /> assistance to City through the audit and to make changes to the work product <br /> required as a result of the audit. Consultant shall not be liable for any audit <br /> disallowances or any missed or lost revenue associated with, or related to, the <br /> Services, except if such disallowances or missed or lost revenue associated <br /> with, or related to, the Services are caused by Consultant's willful misconduct or <br /> any negligent act or omission of the Consultant, any subcontractor, anyone <br /> directly or indirectly employed by a n of <br /> them or anyone for whose acts any one <br /> of them may be liable. <br /> 12. A new Section 23 is hereby added to the Agreement to read in its entirety as <br /> follows: <br /> Section 23. Litigation Reimbursement. If Consultant is requested by City to <br /> produce Consultant deliverables, documents, records, working papers, or <br /> personnel for testimony or interviews with respect to this Agreement or any <br /> services provided hereunder, then City and Consultant shall execute a change <br /> order or new services agreement for the sole purpose of setting forth any <br /> payment and the terms associated with Consultant's response and related to the <br /> reasonable fees of Consultant in responding The foregoing does not diminish or <br /> negate Consultant's obligation to negotiate and defend all cost allocation plans <br /> and State mandated cost claims as specifically provided for under the <br /> Description of Services contained in Exhibit "A". <br /> 13. All other provisions of the Agreement, as m ay have been amended from time <br /> to time, will remain in full force and effect.. <br /> 14.
