TI] <br /> <br /> The Program to which these documents pertain is being financed wholly, or partially by the <br /> United States of America under Title I of the Housing and Community Development Act of <br /> 1974. The following provisions are included in the contract documents pursuant to the ACt <br /> and the rules and regulations of the U.S. Department of Housing and Urban Development <br /> (hereinai~er "HUD"). <br /> <br /> This Contract is governed by applicable federal statutes and regulations, as referred to <br /> elsewhere herein. Any material deviation by County for any reason from the requirements <br /> thereof, or from any other provision of this Contract, shall constitute a breach of this <br /> Contract and may be cause for termination at the election of the City or upon the direction of <br /> HUD. The City may terminate this Contract for cause, by giving seven days notice to <br /> County. In the event ofterminnation by whatever means, all finished and unfinished work <br /> shall become the property of the City, and the City shall have the right to direct County's <br /> actions with respect to access to materials. <br /> <br /> The City reserves the right to waive any and all breaches of this Contract, and any such <br /> waiver shall not be deemed a waiver of all previous or subsequent breaches. In the event the <br /> City chooses to waive a particular breach of this Contract, it may condition same on payment <br /> by County of actual damages occasioned by such breach of Contract and shall make every <br /> effort to resolve the same quickly and amicably. <br /> <br />C...Contract Termination <br /> In the event County is unable to fulfill its responsibilities under this Contract for any reason <br /> whatsoever, including circumstances beyond its control the City may terminate this Contract <br /> in whole or in part in the same manner as for breach hereof. All work will stop immediately <br /> upon notification by the City, unless advised to the contrary. Either party to this Contract <br /> may terminate this Contract without cause by giving 30 days written notice to the other <br /> parties. <br /> <br />D. ACceSS to Documents <br /> The City, HUD, the Comptroller General of the United States, or any of their duly authorized <br /> representatives, shall have access to any books, documents, papers, and records of County <br /> which are directly pertinent to this project or to the Housing and Community Development <br /> Act program activities, for the purpose of malting audits, examination, excerpts, and <br /> transcriptions. Records shall be retained for five years. <br /> <br />E.
