PAR. TI] The Program to which these documents pertain is being financed wholly, or partially by the United States of America under Title I of the Housing and Community Development Act of 1974. The following provisions are included in the contract documents pursuant to the ACt and the rules and regulations of the U.S. Department of Housing and Urban Development (hereinai~er "HUD"). This Contract is governed by applicable federal statutes and regulations, as referred to elsewhere herein. Any material deviation by County for any reason from the requirements thereof, or from any other provision of this Contract, shall constitute a breach of this Contract and may be cause for termination at the election of the City or upon the direction of HUD. The City may terminate this Contract for cause, by giving seven days notice to County. In the event ofterminnation by whatever means, all finished and unfinished work shall become the property of the City, and the City shall have the right to direct County's actions with respect to access to materials. The City reserves the right to waive any and all breaches of this Contract, and any such waiver shall not be deemed a waiver of all previous or subsequent breaches. In the event the City chooses to waive a particular breach of this Contract, it may condition same on payment by County of actual damages occasioned by such breach of Contract and shall make every effort to resolve the same quickly and amicably. C...Contract Termination In the event County is unable to fulfill its responsibilities under this Contract for any reason whatsoever, including circumstances beyond its control the City may terminate this Contract in whole or in part in the same manner as for breach hereof. All work will stop immediately upon notification by the City, unless advised to the contrary. Either party to this Contract may terminate this Contract without cause by giving 30 days written notice to the other parties. D. ACceSS to Documents The City, HUD, the Comptroller General of the United States, or any of their duly authorized representatives, shall have access to any books, documents, papers, and records of County which are directly pertinent to this project or to the Housing and Community Development Act program activities, for the purpose of malting audits, examination, excerpts, and transcriptions. Records shall be retained for five years. E.
