9.5.3 General <br /> All policies are to be issued by a governmental risk sharing pool or by <br /> commercial insurers admitted in California and subject to the jurisdiction <br /> of the California Insurance Commissioner,unless otherwise agreed. <br /> If either Party fails to maintain any of the required insurance, the other <br /> Party may, but need not, obtain such insurance on behalf of, and at the <br /> expense of, the defaulting party. <br /> 9.5.4 Evidence of Insurance <br /> Within thirty(30) days of the Effective Date, each Party shall furnish to <br /> the other original certificates of insurance and amendatory endorsements, <br /> if applicable, substantiating the required coverages, provisions and limits <br /> set forth above. <br /> Upon request by either Party,the other Party will immediately furnish a <br /> complete copy of any policy required herein, including all endorsements. <br /> 9.6 Good Faith _ <br /> This Agreement is the result of good faith negotiations voluntarily entered into, <br /> and it is the intent of the Parties that all aspects of performance of this Agreement <br /> will be undertaken in the same manner. The Parties acknowledge that it is not <br /> possible to anticipate every issue, situation or problem that might arise or be <br /> encountered during the term of this Agreement. As to any issue, situation, or <br /> problem not expressly provided for in this Agreement, each Party agrees to refrain <br /> from doing anything (1)to injure the right of each other Party to receive the <br /> -24- 1091374.7 <br />
