AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES (Muniservices, LLC) This Amendment No. 1 (the "Amendment No. 1") is entered into and effective as of February 16, 2021, by and between the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and Muniservices, LLC, a Delaware limited liability company ("Consultant") (collectively, the "Parties"). The Parties previously executed that certain Agreement for Professional Services for Utility Users Tax Compliance and Revenue Protection services, dated as of February 16, 2017 (the "Agreement"). B. While the Agreement expired on February 15, 2020, the Parties continued to work together to ensure the continuation of service delivery. The Parties now wish to renew implementation of the Agreement as amended by this Amendment No. 1, and authorize the payment to Consultant for services rendered for the period from February 16, 2020, to February 15, 2021. C. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will pay Consultant a not -to -exceed amount of Sixty-six Thousand Dollars ($66,000.00) for the completion of all the services under Amendment No. 1, which sum will include all costs or expenses incurred by Consultant. Including all amendments through Amendment No. 1, the total amount payable under the Agreement will be a not - to -exceed amount of Two Hundred Sixty-six Thousand Dollars ($266,000.00). 2. Unless terminated earlier, the term of this Amendment shall be from February 15, 2020 through February 15, 2021. Including all amendments, through Amendment No. 1, the total term of this Agreement is four years from the Effective Date of this Agreement. 3. All other provisions of the Agreement will remain in full force and effect. 4. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement will include coverage for this Amendment. 5. The individuals executing this Amendment and the instruments referenced in it on behalf of Consultant each represent and warrant that they have the legal power, right and actual authority to bind Consultant to the terms and conditions of this Amendment.
