In the <br />event that any court of competent jurisdiction, the FCC or any <br />state regulatory body, by rules, decisions, or other action, <br />determines that any material provision of the franchise documents, <br />including this franchise, is invalid or unenforceable, the Grantor <br />and Grantee shall renegotiate such provision. <br />SECTION 11. PROCEDURE. If the Grantor makes a determination <br />that Grantee is in violation of any provision of this franchise, <br />any rule or regulation promulgated pursuant thereto, or any <br />applicable Federal, State, or local law, the Grantor shall make <br />a written demand to the Grantee that it remedy such violation. <br />If the violation is not remedied to the satisfaction of the <br />Grantor within thirty (30) days following such demand, the Grantor <br />shall determine whether or not such violation by the Grantee was <br />excusable or inexcusable, in accordance with the following <br />procedure: <br />(a) Grantor shall provide Grantee with a notice that <br />Grantee has an opportunity to respond to the allegation that <br /> 17 <br /> ,'-,"^ "-r-.""'.'- <br />
