13.2 District Personal Propertv. Any and all personal property, furnishings, fixtures, and equipment installed by
<br />District in, on or around the New Classroom Building which are attached to the Premises and can be removed without
<br />substantial damage to the New Classroom Building or the Premises shall be during the Term, and shall remain upon
<br />Lease Termination, the personal property of District (the "District Personal Property"). However, any Personal
<br />Property of District which remains on the Premises for sixty (60) days after the Lease Termination shall
<br />unconditionally be and become the property solely of City without compensation to District and this lease shall operate
<br />as a conveyance and assignment thereof Personal Property shall exclude any portion or part of major building
<br />components or fixtures necessary for the operation of the basic building systems for the New Classroom Building or
<br />the Premises, such as floor covering, window coverings, elevators, escalators, chillers, boilers, plumbing, electrical
<br />systems, lighting, sanitary fixtures and HVAC systems
<br />13.3 Additional Site Improvements. Additional Site Improvements, as described in Section 9.2 of this Lease,
<br />shall be and shall remain the property of the City. Any and all personal property, furnishings, fixtures of any type,
<br />and equipment installed as part of these Additional Site Improvements shall be and shall remain the personal property
<br />of the City (the "City Personal Property").
<br />13.4 Survival. The provisions of this Section 13 shall survive Lease Termination.
<br />SECTION 14 MAINTENANCE
<br />14.1 Maintainina the Premises and the New Classroom Buildine.
<br />(a) Definition of Dutv: Comoliance with Laws. Throughout the Term, District shall, at District's sole cost
<br />and expense, maintain the Premises and the New Classroom Building in good condition and repair, ordinary wear and
<br />tear excepted, and in accordance with all applicable Laws, rules, requirements and guidelines of federal, state, county,
<br />municipal and other governmental agencies and bodies having or claiming jurisdiction and all their respective
<br />departments, bureaus and officials. District shall maintain the New Classroom Building in a manner consistent with
<br />how it maintains its other school classroom facilities.
<br />(b) Maintenance Plan. District shall prepare and maintain a maintenance plan and schedule for the Premises
<br />and New Classroom Building to assure proper maintenance, periodic inspection, repair, and safe operation of facilities
<br />within the Premises and New Classroom Building ("Maintenance Plan"). Such Maintenance Plan will require
<br />maintenance, inspection, repair, and safe operation as required by law and in accord with District's standard practice.
<br />A copy of this Maintenance Plan shall be presented to City for acceptance by the City Manager or his/her designee,
<br />such acceptance not to be unreasonably withheld or delayed.
<br />(c) No Citv Obligation to Maintain: Citv's Inspection Rights. City shall have no obligations to contribute to
<br />the maintenance of the Premises or the New Classroom Building. District hereby expressly waives the provisions of
<br />subsection 1 of section 1932 and sections 1941 and 1942 of the Civil Code of California and all rights to make repairs
<br />at the expense of District as provided in section 1942 of said Civil Code.
<br />14.2 Maior and Minor Repairs. City's approval is not required for District's Minor Repairs. "Minor Repairs"
<br />means those repairs with an estimated cost not exceeding $100,000.00, such amount to be increased by 3.5% annually.
<br />"Major Repairs" are those repairs not defined as Minor Repairs above. For all Repairs, District shall comply with
<br />all Conditions of Construction set forth in Section 10 of this Agreement.
<br />14.3 General Landscape Maintenance. Except as otherwise provided for in this Lease or the Joint -Use
<br />Agreement, as may be amended from time to time, including as provided in sections 9.1 and 9.2(b) of this Lease and
<br />section 12 of the Joint Use Agreement and any amendments thereto, City shall perform, at its sole cost and expense,
<br />all landscape maintenance on the Sandpiper Joint Use site.
