<br /> insure, rent, lease, encumber, and in any manner deal with any real or personal property.
<br /> \-..-1 tangible or intangible, or any interest therein, that the company now owns or may hereafter
<br /> acquire, upon such terms and conditions as Agent shaH deem proper.
<br /> d. Power to Hire and to Pay for Services. To retain such accountants,
<br /> attomeys, consultants, clerks, employees, workment or other persons as Agent shall deem
<br /> appropñate in connection with the management of the Company's property and affairs, and
<br /> to make payments from the assets of the Company for the charges of such pel"5ons so
<br /> employed.
<br /> e. Banking Powers. To open and rnaintain any type of accounts or
<br /> certificates in the name of the Compan y in banks, savings and loan associations and other
<br /> financial institutions; to make, receive and endorl3e checks end drafts, deposit and
<br /> withdraw funds, acquire and redeem certificates of deposít, in banks, savings and loan
<br /> associations and other institutions.
<br /> f. General Documents. To make, receive, sÎgn, endorse, apply for.
<br /> execute, acknowledge, deliver, end possess such applications, contra ¡::(s , agreements,
<br /> options, cQvenants, conveyances, deeds, bills of sale. leases, assignments, insurance
<br /> policies, licenses of any nature, bills of lading, warehouse receipts, documents of title, bills,
<br /> checks, drafts, bills of exchange, letters of credit, commercial paper, receipts, withdrawal
<br /> receipts and deposit jnstruments relating to accounts or deposits in, or certificates of
<br /> deposit of, banks, savings and loan or other institutions or associations, proofs of loss,
<br />(" ..../ evidences of debts, releases and satisfaction of mortgages, lien~, judgments, security
<br />,,' . agreements and other debts and obUgatiQns and such other instruments in writing of
<br />\~' ~..: whatever kind and nature as may be necessary or proper in the exercise of the rights and
<br /> powers herein granted.
<br /> g. Motor Vehicles. To acquire and hold certificates of title upon any
<br /> automobile, truck, pickup, van, trailer, motor home, boat, motorcycle or other motor vehicle
<br /> in the name of the Company, and endorse and transfer title thereto, and to rsprelient in
<br /> suoh transfer assignment that the title to said motor vehicle is free and clear of ¡¡¡II liens and
<br /> encumbrances except thoSê specifically set forth in such transfer assIgnment.
<br /> h. Business Interests. To conduct or participate in any lawful business of
<br /> whatever nature for the Company and in the Company's name; and carry out the provisions
<br /> of any agreement for the sale of any business interest or the stock therein.
<br /> I, Tax Powers. To prepare, sign and file on behalf of the Company
<br /> income tax retums or declaratíons of estimated tax for any year or years; and to represent
<br /> the Company in any federal, state or local Income or other tax proceeding, judicial or
<br /> administrative.
<br /> 2. Interpl'êtation. This instrument is to be construed and intarpreted as a gensral
<br /> power of attorney, and except as expressly set forth herein below, the enumeration of specific
