DocuSign Envelope ID: 30F6581A-0838-48D7-9473-013ODFBBA09F <br />C3r-6a�:aU" L <br />LICENSE AGREEMENT <br />(Temporary Traffic Counter Installation) <br />This License Agreement (this "Agreement") is dated as of April 24, 2017, and is made <br />by and between REDWOOD CITY PARTNERS, LLC, a Delaware limited liability company <br />("Licensor") and THE CITY OF REDWOOD CITY, a charter city and municipal corporation of <br />the State of California ("Licensee"). <br />RECITALS <br />A. Licensor is the owner and operator of those certain multi -tenant buildings located <br />at 900 Jefferson Avenue and 900 Middlefield Road, Redwood City, CA 94063, which buildings <br />are the principle components of that certain office project commonly known as "Crossing 900" <br />(the "Project"), as depicted on the site plan attached hereto as Exhibit A. <br />B. Licensee desires to obtain a license to install equipment measuring vehicle ingress <br />and egress at the entrance to the Project, and Licensor has agreed to allow such installation, <br />subject to the terms and conditions set forth herein. <br />NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency <br />of which are hereby acknowledged, the parties hereto hereby agree as follows: <br />1. Grant of License: Rieht of Entrv: "As -Is" Condition. Subject to the access <br />restrictions set forth herein, Licensor hereby grants to Licensee a non-exclusive, revocable <br />license (the "License"), to, at Licensee's sole expense, install, operate, maintain, repair, replace <br />and remove (the "Work") tube counters and one (1) traffic data collection box (the <br />"Equipment"), in the location depicted on Exhibit B attached hereto (the "License Area"). <br />Licensee's installation of the Equipment and any particular item of equipment or related <br />connection not specifically set forth herein shall be subject to Licensor's prior written approval, <br />which shall not be unreasonably withheld. Licensee acknowledges that Licensee has examined <br />and is fully familiar with the condition of the License Area and shall accept the License Area in <br />its presently existing, "as -is" condition, and Licensor shall not be obligated to provide or pay for <br />any improvement work or services related to the improvement of the License Area for use by <br />Licensee. Licensor acknowledges that neither Licensor nor any agent of Licensor has made any <br />representation or warranty regarding the condition of the License Area with respect to the <br />suitability of any of the foregoing for the Licensee's use. Licensee acknowledges that Licensor <br />will not provide any services or security, except as set forth in naramph 6 herein. Licensee <br />shall, at Licensee's expense, provide any additional security it deems necessary to secure the <br />License Area during the License Term. <br />2. Term. The term of this Agreement shall commence on 6:00 a.m. on Monday, <br />April 24, 2017 and shall expire at midnight on Friday, April 28, 2017 (the "Term"). <br />3. License Fee.
