Licensee shall be responsible, at its sole cost and <br />expense, for preparation of the License Area for use by Licensee during the Tenn of this <br />Agreement. Licensee shall reimburse Licensor for reasonable costs incurred by Licensor as a <br />result of Licensee's preparations, if any. <br />5. Access. Licensor shall provide Licensee (including Licensee's employees, <br />agents, contractors and suppliers) access to the Equipment upon Licensee's request, so that <br />Licensee may perform installation, operation, maintenance, replacement, removal and repair <br />functions all in accordance with Licensor's reasonable rules and regulations for the Proiect of <br />which Licensee has been notified. Any access to the Equipment shall require advance notice to <br />Licensor, in writing, at least one (1) hour prior to the intended access. A representative of <br />Licensor may accompany Licensee or Licensee's contractor or supplier during any such access. <br />Licensee shall be solely responsible for the actions of employees and agents of Licensee or its <br />contractors and suppliers at any and all times that employees or agents of Licensee or any such <br />contractors or suppliers are entering upon, exiting from or are upon any portion of the Project. <br />Licensee shall ensure that any such employees and agents of Licensee or any contractor or <br />supplier shall comply with pny insurance company imposed requirements for the Project of <br />which Licensee has been notified. <br />6. Construction and Operations <br />6.1 Licensee shall, at its sole cost and expense, prepare and deliver to Licensor <br />for its approval working drawings, plans and specifications ("Plans") detailing the location and <br />size of the Equipment, and specifically describing the proposed installation of the Equipment, <br />including any proposed connections to any existing utility equipment serving the Project and any <br />proposed use of current easements. Licensor acknowledges and agrees that the Plans are frilly <br />described in Exhibit B, and Licensor approves said Plans. <br />6.2 Licensee shall, at its sole cost and expense, comply with the following: <br />6.2.1 Licensee shall perform all Work in a safe and workmanlike manner <br />consistent with generally accepted construction standards; <br />6.2.2 Licensee shall perform all Work in such a way as to minimize, as <br />is reasonably practical, any interference with the operations of the Project and any existing <br />easements on the land, and at such times and in accordance with rules and regulations as <br />Licensor may reasonably require in order to minimize such interference, provided such rules and <br />regulations are uniformly applied to all Licensees in the Project, and are provided to Licensee in <br />writing no later than thirty (30) days prior to implementation or application; <br />6.2.3 Subject to the access restrictions set forth herein, Licensee shall <br />perform the Work and operate the Equipment in compliance with all laws, ordinances, rules, <br />regulations and requirements imposed by any local, state, or federal authority having jurisdiction <br />with respect to the Project, the land or the Equipment, as amended and supplemented from time <br />to time during the Term (collectively, "Laws").
