Auditing, will remain in full force and effect until all applicable GRANT obligations <br />have been satisfied. <br />V. REPORTING AND AUDITING <br />A. The PARTIES each will be solely responsible for maintaining their <br />PROJECT -related records for a minimum of three (3) years following the CITY's final <br />payment to the DISTRICT, or four (4) years following the fiscal year of the last <br />expenditure under this AGREEMENT and the GRANT program, whichever is later, in <br />accordance with generally accepted accounting principles. <br />B. The PARTIES must make their PROJECT -related documents available to <br />each other for inspection at any time while the PROJECT is underway and for the <br />retention period outlined in Section V.A. The CITY will comply with any and all <br />DISTRICT and CALTRANS reporting requirements. <br />VI. AMENDMENTS <br />This AGREEMENT can be amended, modified, or supplemented only in <br />writing(s) signed by both PARTIES. No oral understanding or agreement not <br />incorporated herein will be binding on either of the PARTIES. <br />VII. NOTICES <br />A. All notices and communications deemed by either party to be necessary or <br />desirable must be in writing and may be given by personal delivery to a representative of <br />the other party or by mailing the same postage prepaid, addressed as follows: <br />If to the DISTRICT: <br />San Mateo County Transit District <br />Attn: Peter Skinner, Manager, Grants and Fund Programming <br />1250 San Carlos Avenue <br />San Carlos, CA 94070-1306 <br />If to the CITY: <br />City of Redwood City <br />Planning and Housing Division <br />Attn: Lindy Chan <br />1017 Middlefield Road, <br />Redwood City, CA 94063 <br />B. The address to which mailings may be made may be changed from time to <br />time by notice mailed as described above. Any notice given by mail will be deemed given <br />on the day after that on which it is deposited in the United States Mail as provided above. <br />VIII.
