design of multimodal streetscape improvements in the CITY, and completion of a report <br />detailing the case study design and community outreach results. <br />II. SCOPE OF WORK RESPONSIBILITIES <br />A. The DISTRICT will serve as PROJECT Sponsor and will manage and <br />implement all aspects of the PROJECT, in accordance with the attached SCOPE OF <br />WORK. The DISTRICT may engage a consultant to carry out any or all aspects of the <br />PROJECT ("CONTRACTOR"). <br />B. In addition to providing matching funds, the CITY will meet its obligations <br />under the SCOPE OF WORK, including: <br />1. Sharing, with the City of Palo Alto, responsibility to direct the public <br />engagement processes related to the PROJECT; <br />2. Providing staffing support throughout this public outreach process; and <br />3. Guiding the development of the conceptual designs prepared by the <br />DISTRICT or its consultants to fit local community needs and feedback. <br />III. FINANCIAL <br />A. The CITY agrees to reimburse the DISTRICT for PROJECT 5.73% of costs, <br />up to a total of $22,613. <br />1. The DISTRICT must submit quarterly invoices to the CITY within thirty (30) <br />days after the end of each quarter for which payment is sought, detailing <br />its costs for PROJECT activities during quarter and not covered by <br />previously submitted invoices. <br />2. Each quarterly invoice must include a brief narrative progress report, the total <br />costs expended for the PROJECT during the subject quarter, the dollar <br />amount of matching funds requested for reimbursement, and the total costs <br />expended for the PROJECT under this AGREEMENT to date. <br />3. The CITY will reimburse the DISTRICT, within thirty (30) days following <br />receipt of DISTRICT invoices, for 5.73% of the DISTRICT's eligible <br />PROJECT costs during the subject quarter, provided however, that the <br />CITY will not reimburse the DISTRICT for costs incurred for activities <br />not within the scope of the PROJECT as described in the SCOPE OF <br />WORK. <br />B. The CITY agrees that it will not be entitled to reimbursement of its costs <br />incurred while performing its obligations as set forth in Section II, Scope of Work <br />Responsibilities. <br />IV. TERM <br />This AGREEMENT shall remain in effect until , unless terminated <br />sooner pursuant to Section XII. It is understood by the PARTIES that upon termination <br />of the PROJECT or this AGREEMENT, the provisions of Section V, Reporting and <br />REV: 05-22-1715 <br />Page 2 of 5 <br />ATTY/AGR.2017.113/MOU with SamTrans for Caltrans Planning Grant <br />
