<br /> DES:djk 09/",8/94 (002/66) <br /> DES:djk 10/10/94R <br /> DES:dft 12/12/94R (004/67) <br />(irrespective of whether Agency fully funds the invoiced amount) , <br />such that RCAC shall not become in arrears in its payments. <br />Nothing herein provide'd shall be deemed to prevent RCAC from <br />contesting the amount or amounts billed under any such invoice, <br />or from otherwise preserving and exercising its legal or <br />equitable rights with respect to its Contractors. <br /> RCAC shall keep and maintain accurate records and accounts <br />of all expenditures, obligations, and financial transactions <br />incurred or made pursuant to the terms of this agreement. Said <br />records and accounts relating to said transactions shall be made <br />available to Agency, its agents or employees and the public for <br />review and copying during regular business hours at RCAC's place <br />of business, or as otherwise agreed upon by the parties. <br /> 5. AUDIT. Audits or other review of the expenditures and <br />use of the funds granted hereby may be conducted Agency or by the <br />Redwood City Cultural Commission for the purpose of verifying the <br />expenditures or accountings made or provided by RCAC. <br /> 6 . RCAC's STATUS. In the performance of the obligations <br />set forth in this agreement, RCAC shall be, and is, an <br />independent contractor, and shall not be deemed to be an employee <br />or agent of Agency. <br /> 7 . CONTINUING COVENANTS. RCAC hereby agrees and covenants <br />to perform and carry out all those certain obligations described <br />under the heading "Programmatic Agreement" in Exhibit "c" <br />attached hereto and by this reference incorporated herein. <br />RCAC's obligations under this paragraph shall continue and remain <br />in effect for a term concurrent with RCAC's lease term, or any <br /> 3 <br /> -...~...~ "r' <br />
