<br /> EXHIBIT C <br /> MEMORANDUM OF LEASE AGREEMENT <br /> Page 1 of 2 <br /> This Memorandum of Lease Agreement is entered into on this <br /> _ day of , 1995, by and between CITY OF <br /> REDWOOD CITY, a municipal corporation of the State of California <br /> with an office at 1017 Middlefield Road, Redwood City, CA <br /> 94064, (hereinafter referred to as "Lessor" ) and SMART SMR OF <br /> CALIFORNIA, INC. , a Delaware Corporation, dba Nextel <br /> Communications, with an office at 475 14th Street, Oakland, CA <br /> 94612 (hereinafter referred to as "Lessee"). <br /> 1. Lessor and Lessee entered into a Lease Agreement- <br /> Communications Facility ("Lease" ) on the day of _ <br /> , 1995, for the purpose of installing, operating <br /> and maintaining a radio communications facility and <br /> other improvements. All of the foregoing are set forth <br /> in the Lease. <br /> 2. The term of the Lease is for five (5 ) years commencing <br /> on , 1995 and ending on <br /> ~ , _ with one (1) successive five (5) <br /> year option to renew. <br /> 3. The Emerald Lake Hills Water Tank Property which is the <br /> subject of the Lease is described in Exhibit A annexed <br /> hereto.
